SECOND AMENDMENT TO CITY CLERK EMPLOYMENT AGREEMENT <br />THIS SECOND AMENDMENT to the City Clerk Employment Agreement is entered into on <br />November 19, 2024 by and between Jennifer Hall, an individual ("Employee") and the City of <br />Santa Ana, a charter city and municipal corporation organized and existing under the Constitution <br />and laws of the State of California ("City"). City and Employee are also referred to collectively <br />as "The Parties." <br />RECITALS <br />A. City and Employee entered into Agreement No. A-2023 -014 dated February 7, 2023, by which <br />Employee agreed to appointment as City Cleric for City ("Agreement"); and <br />B. On May 7, 2024, after a positive performance evaluation, the City Council approved a first <br />amendment to the Agreement to adjust Employee's salary; and <br />C. City Charter Section 705 and the Agreement provide for an annual performance evaluation for <br />Employee; and <br />D. On October 15, 2024, Employee received a positive performance evaluation; and <br />E. The City Council now desires to adjust Employee's salary to reflect said positive performance <br />evaluation and to increase the amount of deferred compensation provided by the City. - <br />The Parties therefore agree: <br />1. Section 3.1., Salary, is amended to increase the annual compensation from $182,320 to $195,083 <br />effective October 15, 2024. <br />2. Section 3.3.4 Deferred Compensation (457 Plan), is amended effective October 15, 2024, to <br />read as follows: <br />3.3.4 Deferred Compensation (457 Plan) <br />City agrees to provide Employee an annual deferred compensation pursuant to section 457 of the <br />Internal Revenue Code in an amount equal to the maximum contribution allowed by law, including <br />the normal contribution only. Payments shall be divided and deposited on the Employee's behalf <br />for each pay period. <br />3. Except as modified by this Second Amendment, all terms and conditions of the Agreement as <br />previously amended shall remain in full force and effect. <br />Page 1 of 2 <br />
