DocuSign Envelope ID: 9EOODCF9-CB2D-429E-9C75-BECB90054AA3 <br />a) Terminate the Contract immediately, pursuant to Section K herein; <br />b) Afford the Contractor written notice of the breach and ten calendar days or such shorter time <br />that may be specified in this Contract within which to cure the breach; <br />c) Discontinue payment to the Contactor for and during the period in which the Contractor is in <br />breach; and <br />d) Offset against any monies billed by the Contractor but yet unpaid by the County those monies <br />disallowed pursuant to the above. <br />6. CAL -OSHA VEHICLE REGULATION: All vehicles must meet California Motor Vehicle and Cal - <br />OSHA regulations and all other applicable codes required for vehicle use on the roads or highways <br />in the state of California. <br />7. CIVIL RIGHTS: Contractor attests that services provided shall be in accordance with the provisions <br />of Title VI and Title VII of the Civil Rights Act of 1964, as amended, Section 504 of the <br />Rehabilitation Act of 1973, as amended; the Age Discrimination Act of 1975 as amended; Title II <br />of the Americans with Disabilities Act of 1990, and other applicable State and federal laws and <br />regulations prohibiting discrimination on the basis of race, color, national origin, ethnic group <br />identification, age, religion, marital status, sex or disability. <br />8. COOPERATIVE CONTRACT - REGIONAL COOPERATIVE AGREEMENT (RCA): This Contract is a <br />cooperative contract and may be utilized by all County of Orange departments. <br />The provisions and pricing of this Contract will be extended to any Municipal, County, Public <br />Utility, Hospital, Educational Institution, or any other non-profit or governmental organization. <br />Governmental entities wishing to use this contract will be responsible for issuing their own <br />purchase documents / price agreements, providing for their own acceptance, and making any <br />subsequent payments. Contractor shall be required to include in any Contract entered into with <br />another agency or entity that is entered into as an extension of this Contract a Contract clause that <br />will hold harmless the County of Orange from all claims, demands, actions or causes of actions of <br />every kind resulting directly or indirectly, arising out of, or in any way connected with the use of <br />this Contract. Failure to do so will be considered a material breach of this Contract and grounds for <br />immediate Contract termination. The cooperative entities are responsible for obtaining all <br />certificates of insurance and bonds required. The County of Orange makes no guarantee of usage <br />by other users of this Contract. <br />A 2 percent rebate on Eligible Revenues will be paid to the County for any contracts the Contractor <br />agrees to enter into with other entities under the provisions and pricing of this Contract. The <br />Contractor shall provide quarterly Volume Sales Reports to the County about additional sales to <br />other entities under the provisions and pricing of this Contract. The Reports shall include the <br />ordering agency, detail of items sold including description, quantity, and price, and shall include <br />all transactions pertaining to sales under the Contract provisions and pricing for that Reporting <br />Period. Contractor shall provide the Volume Sales Reports regardless of whether or not any sales <br />have been conducted. Failure of the Contractor to provide quarterly reports as required, may be <br />deemed breach of the contract. A late penalty of 15 percent on the value of the rebate may be <br />assessed to the Contractor for each month the payments are not received. <br />9. CONFLICT OF INTEREST— COUNTY PERSONNEL: The County of Orange Board of Supervisors <br />policy prohibits its employees from engaging in activities involving a conflict of interest. The <br />Contractor shall not, during the period of this Contract, employ any County employee for any <br />purpose. <br />10.
