Reports/Meetings: <br />The Subrecipient shall develop reports and any other relevant documents necessary to complete the services <br />and requirements as set forth in Attachment A. The County’s Project Manager and the Subrecipient’s <br />Project Manager will meet on reasonable notice to discuss the Subrecipient’s performance and progress <br />under this contract. If requested, the Subrecipient’s Project Manager and other project personnel shall attend <br />all meetings. The Subrecipient shall provide such information that is requested by the County for the <br />purpose of monitoring progress under this contract. <br />39. Gratuities: <br />The Subrecipient warrants that no gratuities, in the form of entertainment, gifts or otherwise, were offered <br />or given by the Subrecipient or any agent or representative of the Subrecipient to any officer or employee <br />of the County with a view toward securing the Contract or securing favorable treatment with respect to any <br />determinations concerning the performance of the Contract. For breach or violation of this warranty, the <br />County shall have the right to terminate the Contract, either in whole or in part, and any loss or damage <br />sustained by the County in procuring on the open market any goods or services which the Subrecipient <br />agreed to supply shall be borne and paid for by the Subrecipient. The rights and remedies of the County <br />provided in the clause shall not be exclusive and are in addition to any other rights and remedies provided <br />by law or under the Contract. <br />40. County Branding Requirements: <br />Publicity, Literature, Advertisement and Social Media <br />A. County owns all rights to the name, logos, and symbols of County. The use and/or reproduction <br />of County’s name, logos, or symbols for any purpose, including commercial advertisement, <br />promotional purposes, announcements, displays, or press releases, without County’s prior written <br />consent is expressly prohibited. <br />B. Subrecipient may develop and publish information related to this Contract where all of the <br />following conditions are satisfied: <br />1. Subrecipient’s Project Manager must provide its written approval of the content and <br />publication of the information at least 5 days prior to Subrecipient publishing the information, <br />unless a different timeframe for approval is agreed upon by the Project Manager; <br />2. Unless directed otherwise by the County’s Project Manager, the information will include a <br />statement that the program, wholly or in part, is funded through County, State and Federal <br />government funds from the WIOA Program;The information does not give the appearance <br />that the County, its officers, employees, or agencies endorse: <br />a. any commercial product or service; and, <br />b. any product or service provided by Subrecipient, unless approved in writing by the <br />Subrecipient’s Project Manager; and, <br />If Subrecipient uses social media (such as Facebook, Twitter, YouTube or other publicly available social <br />media sites) to publish information related to this Contract, Subrecipient shall develop social media policies <br />EXHIBIT 1
