This document includes salient or non-standard provisions extracted from NASPO/ValuePoint Model <br />Contract for Cloud Services. <br />February 17, 2016. <br />Purchasing Entity must cooperate and hold a meeting to determine the Data <br />Categorization to determine whether the Contractor will hold, store, or process High <br />Risk Data, Moderate Risk Data and Low Risk Data. The Contractor must document the <br />Data Categorization in the SLA or Statement of Work. <br />31. Warranty: At a minimum the Contractor must warrant the following: <br />a. Contractor has acquired any and all rights, grants, assignments, conveyances, <br />licenses, permissions, and authorization for the Contractor to provide the Services <br />described in this Master Agreement. <br />b. Contractor will perform materially as described in this Master Agreement, SLA, <br />Statement of Work, including any performance representations contained in the <br />Contractor's response to the Solicitation by the Lead State. <br />c. Contractor represents and warrants that the representations contained in its response <br />to the Solicitation by the Lead State. <br />d. The Contractor will not interfere with a Purchasing Entity's access to and use of the <br />Services it acquires from this Master Agreement. <br />e. The Services provided by the Contractor are compatible with and will operate <br />successfully with any environment (including web browser and operating system) <br />specified by the Contractor in its response to the Solicitation by the Lead State. <br />f. The Contractor warrants that the Products it provides under this Master Agreement <br />are free of malware. The Contractor must use industry -leading technology to detect and <br />remove worms, Trojans, rootkits, rogues, dialers, spyware, etc. <br />32. Transition Assistance: <br />a. The Contractor shall reasonably cooperate with other parties in connection with all <br />Services to be delivered under this Master Agreement, including without limitation any <br />successor service provider to whom a Purchasing Entity's Data is transferred in <br />connection with the termination or expiration of this Master Agreement. The Contractor <br />shall assist a Purchasing Entity in exporting and extracting a Purchasing Entity's Data, <br />in a format usable without the use of the Services and as agreed by a Purchasing <br />Entity, at no additional cost to the Purchasing Entity. Any transition services requested <br />by a Purchasing Entity involving additional knowledge transfer and support may be <br />subject to a separate transition Statement of Work. <br />b. A Purchasing Entity and the Contractor shall, when reasonable, create a Transition <br />Plan Document identifying the transition services to be provided and including a <br />Statement of Work if applicable. <br />
