NOV'27 2001 8:34 AM FROIC CONTRACTS 805 .963 243100 17149731461 P.03 <br />Ms. Maya DeRosa.� <br />November 27, 2001 <br />Page 2 M rao-amea ComMr <br />Deliverable: Revised template (subtotal .5 hours per site; grand total 3.0 hours per site) <br />The following assumptions shall apply to this task. <br />• Staff will provide a monthly work request identifying properties to be categorized. <br />• Templates will be transmitted electronically. <br />• The times noted above per subtask are estimated and may deviate according to variables <br />such as the location of the property; the complexity of the building; availability, type, and <br />quantity of research material. <br />• City will be responsible for ownership, Assessor's parcel numbers, and sketch maps <br />required on the DPR forms. <br />• Two iterations of the templates are specified: one draft and one revision. <br />• City will continue to provide building permit access. <br />• City will provide copies of relevant documentation. To date, SAIC has received copies of a <br />variety of materials, including: the Downtown Santa Ana National Register application; the <br />Builders Exchange National Register application; the 1980 Historic Resources Survey, Santa <br />Ana's Historic Treasures; the Historic Categorizations Index 2000; the Office of Historic <br />Preservation Historic Resources Inventory Santa Ana database. 0YWIP <br />Task 2. Meetings. SAIC's Architectural Historian will atten meetings as follows: 12 <br />Historic Resources Commission meetings (held on the first Thursday of each month), 12 <br />Template Committee meetings (held on the second Friday of each month), and 6 coordination <br />meetings with Staff. <br />SCHEDULE <br />The total project performance period is anticipated to be one year. <br />BUDGETITERMS AND CONDITIONS <br />SAIC proposes to perform the tasks outline above on a time -and -materials basis, for a not -to - <br />exceed cost of $94,413. Our proposed costs are itemized by task in Exhibit 1, and are based on a <br />fully burdened hourly rate for the services of Leslie Heumann. Should support from other <br />SAIC personnel be required in the performance of the proposed tasks they shall be billed at the <br />SAIC Labor Rates presented in Exhibit 2. In no event will the not -to exceed budget be exceeded <br />without mutual written authorization. <br />Additionally, SAIC requests that this new agreement incorporate the terms and conditions <br />previously negotiated between the City and SAIC, and include the following paragraph in the <br />indemnification provision: "Consultant shall not have liability under this indemnity for any <br />indirect, consequential, special or economic damages, and Consultant's total liability to third <br />parties or employees of City, for any reason and under any theory of liability, arising out of or <br />related to this Agreement shall not exceed the lesser of five times the contract revenues or one <br />million dollars ($1,0001000).
