14 PROFESSIONAL LICENSES <br />The Library Corporation shall, throughout the term of this Agreement, maintain all necessary <br />licenses, permits, approvals, waivers, and exemptions necessary for the provision of the <br />services hereunder and required by the laws and regulations of the United States, the State <br />of California, the City of Santa Ana and all other governmental agencies. The Library <br />Corporation shall notify the City immediately and in writing of her inability to obtain or <br />maintain such permits, licenses, approvals, waivers, and exemptions. Said inability shall be <br />cause for termination of this Agreement. <br />14.1 Credit terms and limit may be canceled or changed by The Library Corporation at any time <br />with thirty (30) days notice. <br />14.2 Site Preparation. It is understood and agreed that the aforesaid fees do not include any site <br />preparation or installation costs except as described in Schedule F, Installation and <br />Training. <br />14.3 Licenses. The Library Corporation hereby grants to the City a perpetual, non -transferable <br />and non-exclusive license to use the Licensed Software. <br />14.4 Each License granted under this Agreement authorizes the City to: (a) use the Licensed <br />Software, in object code form only, at any City operating location or other means of <br />providing access to the patrons of the City services and on a separate non -operational <br />computing environment for the sole purpose of testing changes, patches, fixes, upgrades, <br />etc. to the Licensed Software or related data, (b) utilize the Licensed Software Materials in <br />printed form and the Database in machine-readable form in support of the use of the <br />licensed program. <br />14.5 The City shall not allow the Software or any portion thereof to be reverse compiled or <br />disassembled. <br />14.6 If the Licensed Software is to be used at other than the designated location(s) as specified <br />by Schedule A, additional licenses may be required for each additional location as <br />addressed in Schedule C, Part 1. If the City cannot perform its data processing at the host <br />location because of conditions beyond the City's control, the affected licenses will be <br />temporarily extended to permit the City to use the licensed program material at another <br />location. <br />14.7 Sub -Licensed Software is governed by the licensing terms and conditions of the owners of <br />those Software products, as identified in Section 1.3.2 of this Agreement. <br />15 The City shall: <br />15.1 Provide suitable electric service for operation of Hardware and a connection for the <br />Database Server defined in Schedule C as mutually agreed upon by both parties. <br />15.2 Pay all costs associated with local leased dedicated telephone lines. <br />Library Contract Page 9 of 29 <br />
