1.4 The term "Databases" refers to Library of Congress MARC Database and other information <br />formatted for use by the Licensed Software and provided on machine-readable media by <br />The Library Corporation. <br />1.4.1 The terms "Customer's Database" and "City's Data" and "City's Database" are defined as <br />the City's patron, circulation transaction, and MARC catalog machine-readable data. <br />1.5 The "Installation Date" shall be the day on which the City begins production use of the <br />Hardware and of the Licensed Software with the City's Data fully loaded and available to <br />the City . <br />1.6 "Acceptance' is the event in which the City accepts and approves as being complete the <br />Library Corporation's Licensed Software, consisting collectively of the products and services <br />identified herein. The City will sign an Acceptance Form indicating acceptance when all of <br />the following conditions are met: <br />a. The Library Corporation delivers Licensed Software to City identified in Schedule D, <br />except Homebound and Bookmobile Modules, with quality that can be reasonably <br />expected from a typical provider of The Library Corporation's type of solutions. <br />b. 30 days after Licensed Software are implemented in a "Live" production environment. <br />c. The system implemented from the Licensed Software does not possess significant <br />issues or integrity problems. <br />d. The system implemented from the Licensed Software behaves in a manner consistent <br />with that represented by The Library Corporation's representatives and documented in <br />The Library Corporation's documentation. <br />1.7 "Statistics" set forth in Schedule A, City Statistics, include the number of titles, number and <br />type of terminals, number of locations, total items issued annually at each location, and the <br />number of items in the collections at the City locations where the System is to be used. <br />"Items" are defined as materials circulated by the City (individual copies of books, records, <br />cassettes, etc.). Since The Library Corporation relies on these Statistics to choose the type <br />of Hardware and to set parameters of the Software, the City agrees that its Statistics are <br />shown are reasonably correct. <br />3 �01 <br />2 This Agreement shall commence on bec�o"eC and terminate on 200 unless <br />terminated earlier in accordance with Section 3.1, below. The term of this Agreement may <br />be extended upon a writing executed by the Library Director, the City Attorney, and The <br />Library Corporation. <br />Termination This Agreement may be terminated by the City or Library Corporation upon <br />ninety (90) days written notice of termination. In such event, The Library Corporation shall <br />be entitled to receive and the City shall pay Library Corporation compensation for all services <br />performed by Library Corporation prior to receipt of such notice of termination, subject to the <br />following conditions: <br />a. As a condition of such payment, the Executive Director may require The Library <br />Corporation to deliver to the City all work product completed as of such date, and in such case <br />such work product shall be the property of the City unless prohibited by law, and The Library <br />Library Contract Page 3 of 29 <br />
