Corporation consents to the City's use thereof for such purposes as the City deems <br />appropriate. <br />b. Payment need not be made for work that fails to meet the standard of performance <br />specified in the Recitals of this Agreement. <br />3.1 In no event shall this Agreement be assigned or assignable by operation of law or by <br />voluntary or involuntary bankruptcy proceedings or otherwise, and any such assignment or <br />attempted assignment shall be void and in no event shall this Agreement or any rights or <br />privileges hereunder be an asset of the City under any bankruptcy, insolvency or <br />reorganization proceedings. <br />3.2 The Library Corporation hereby grants to the City a non-exclusive perpetual license to use <br />any Licensed Programs and Licensed Software that were accessible during the term of this <br />Agreement. Such use shall be in accordance with the provisions of this Agreement and shall <br />survive termination of this Agreement. The means by which the City shall have access to <br />such Licensed Programs and Licensed Software shall be in a manner and form substantially <br />equivalent to the means and by which access is provided under this Agreement. <br />4. INDEPENDENT CONTRACTOR <br />The Library Corporation shall, during the entire term of this Agreement, be construed to be <br />an independent contractor and not an employee of the City. This Agreement is not intended <br />nor shall it be construed to create an employer -employee relationship, a joint venture <br />relationship, or to allow the City to exercise discretion or control over the professional <br />manner in which The Library Corporation performs the services which are the subject matter <br />of this Agreement; however, the services to be provided by The Library Corporation shall be <br />provided in a manner consistent with all applicable standards and regulations governing <br />such services. The Library Corporation shall pay all salaries and wages, employer's social <br />security taxes, unemployment insurance and similar taxes relating to employees and shall be <br />responsible for all applicable withholding taxes. <br />5. INSURANCE <br />Prior to undertaking performance of work under this Agreement, The Library Corporation <br />shall maintain and shall require its subcontractors, if any, to obtain and maintain insurance <br />as described below: <br />Library Contract Page 4 of 29 <br />
