<br /> <br />~ <br /> <br />. <br /> <br />AGREEMENTBETWEE~THE <br />. . f\) CITY OF SANTA ANA <br />(;t ~wo ( L' f\,v AND APPRISS, INC. <br /> <br />THIS AGREEMENT, is made and entered into this k day of I?J ,2001, <br />by and between the City of Santa Ana, a charter city and municipal corporation d y organized <br />and existing under the Constitution and laws of the State of California ("City") ana Appriss, Inc. <br />("Consultant"). <br /> <br />0)/ <br /> <br />N-2001-201 <br /> <br />t <br /> <br />RECITALS <br /> <br />A. The City desires to retain a consultant to provide the City with specialized computer <br />capabilities and services; <br />B. Consultant represents that it is specially trained, experienced. and competent to <br />perform such services to City, and further represents that any services performed by <br />Consultant under this Agreement will be performed in compliance with such standards <br />as may reasonably be expected ftom aprofessional consultingJmn in the field. <br /> <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br /> <br />1. <br /> <br />SCOPE OF SERVICES <br /> <br />Consultant agrees to provide victim notification services ("the service") as described <br />herein and in the Proposal attached and incorporated herein as Exhibit A. The service will be <br />provided to the City of Santa Ana, Police Department, in connection with the Santa Ana Jail. The <br />City agrees to purchase ftom Consultant the services on the terms and conditions herein set forth. <br />This Agreement shall be effective as ofthe date above, and continue until September 30, 2002, <br />unless terminated earlier per the terms contained herein. The term of this Agreement may be <br />extended upon a writing executed by the Chief of Police and the City Attorney. <br /> <br />2. <br /> <br />DESCRIPTION OF SERVICES <br /> <br />Subject to the conditions and limitations contained herein, Consultant shall provide a <br />victim notification service on a 24-hour per day, 7-day a week basis through its automated call <br />center. This victim notification service shall be referred to as the "VINE Service". Included in <br />this service is the initial labor as well as expenses to dedicate a special telephone number for the <br />City's use of Consultant's call center. The VINE@ Service includes the processing of incoming <br />and outgoing victim calls as well as other services which are described in Exhibit A. Victim <br />notification calls only occur after the City and/or the City's equipment transmits an automatic or <br />manual notification signal. Upon receipt of the notification signal, the notification processes as <br />defined in Exhibit A shall be performed. The City shall bear all costs associated with changes or <br />modifications to its existing automated system to provide Consultant with data required for the <br />notification signal. Consultant acts only in the capacity of a consultant to assist in this work. <br />Consultant is responsible for all development associated with the processing of the notification <br />signal and the actual notification attempts once the signal has been transmitted. Where <br />applicable, costs of postage and stationery are excluded. <br />
