<br />WHEREAS, the terms and conditions of both the Original Contract, <br /> <br />Amendment No.1 and Amendment No, 2 will expire prior to the Project <br /> <br />completion; and <br /> <br />WHEREAS, DISTRICT and AGENCY mutually desire to further extend the <br /> <br />term of the Original Contract, Amendment No, 1 and Amendment No, 2, to allow <br /> <br />AGENCY to complete the Project; and <br /> <br />WHEREAS, pursuant to the terms of the Original Contract, any extension <br /> <br />beyond eighteen (18) months may only be approved by DISTRICT's Board of <br /> <br />Directors. <br /> <br />NOW, THEREFORE, in consideration of the foregoing, it is agreed <br /> <br />between the Parties hereto as follows: <br /> <br />Section 1: <br /> <br />The term of the Original Contract shall be extended for an <br /> <br />additional six (6) months from the Project completion date in Amendment No.2, <br /> <br />up to and including December 31,2003 unless terminated earlier as provided for <br /> <br />in Paragraph 6 of the Original Contract. All Project deliverables and requests for <br /> <br />reimbursement must be received by District by January 30, 2004. <br /> <br />Section 2: <br /> <br />Except as modified herein, all other terms and conditions of <br /> <br />the Original Contract shall remain in full force and effect. <br /> <br />II <br /> <br />II <br /> <br />II <br /> <br />2 <br />
