<br />2.2. "Equipment" means the equipment that is specified in the attachments or is subsequently
<br />added to this Ageement.

<br />8ectIon 3 ACCEPTANCE
<br />Customef llcoepts these Service Terms and Conc:llions and agrees to pay the prices set forth in
<br />the Agreement This Agreement will become binding only when IIlX:8pted in 'Mfling by Mo\J)ro/e.
<br />The term ofth/8 Agreement will begin on the "Start Dale" indicated in lhia ~nt.
<br />SectIon 4 SCOPE OF SEJMCE8
<br />4.1. Motol'l)\& will provide the Sel'lllces delKtibed In this Agreement or in a more detailed
<br />ststement of wlXk c:t olhef document attached 10 this Agl88ment At Customer's req u88l,
<br />Motorola l'l'I8y also proIIld& additional I8fVk:es at MoIorokI's 1hen-applic8ble rates for such
<br />1lIervk:es.
<br />42. . MobroIa is provtdl~ Services for Equipment, Mobola per1B or parte of equal quality wiN
<br />be used; the Equipment will be serviced at leVels set forth in the manufacturer's product mal1uals;
<br />and routine service procedUIllll that are prtlSCribed by Motorola wiN be followed.
<br />4.3. If Cuetomer pul'thases from Motorola addlllonal equipment that becomes part of the same
<br />system as tI1e inillat Equipment, the additional equipment may be added to this Agreement and
<br />will be bled at the Bflplicable 1"8188 afI&r the warnm(y for such acIdIIional equipment expires.
<br />4.4. All Equipment must be in good working order on the Stert Date or when additional equipment
<br />Is added to the Agreement. Upon r&aBOneble Iftquest by Motorola, Cuslomer wltl provide a
<br />complete serial and model number list of the Equipment. Customer must promptly notify Motorola
<br />in wrlllng when any Equlpmel1t Is lost, damaged, stoI8n or taken out of service. Customer's
<br />obligation 10 pay Sera fees for such Equipment will terminate at the end ~ the month in which
<br />Motorola recetves suchwritl8n notice.
<br />4.5. Customer must specifically identify any equipment that is labeled intrinsically saf8 for lJIB in
<br />hllzardouseovironl'Oftnts.
<br />4.6. If Equipment cannot. in Motorola's reasonable opinion, be property or economically serviced
<br />for any reason, Moturola may modify 1M aoope of Services i81alBd to such Equipment; remove
<br />auctl equipment from the Ag"e$ment; or increase the price to Service such Equipment.
<br />4.7. ClJ8tolTNlf must promptly rdfy Motorola d any Equipment failure. Motorola will respond to
<br />Cuatomens notiIicatlQl'l ina manner conaistantwllh the level ofServlce purc:haselt as Indlcated in
<br />this Agreement.
<br />Sectlon 5 EXCWDED SERVICES
<br />5.1. Service excludea the repair or l8p1acemen! of equipment that has become defectlve or
<br />damaged from use in other than Ihe normal, customary, intended, and authorized manner; use not
<br />in compliance with applicable Industry standards: excessi'ftl wear and tear; or accident, liquids,
<br />power surges, neglecl, acts of God or other force ma)8ure events.

<br />rnboW8Ve equlpment, tower or tower lighting, duplexer, mmbiner, or mullicoupler. Motorola has
<br />no obIigAOns for any 1nlnsmission medium, au::fl as I8fephone linea, compuIw networks. the
<br />intemet or the wondWide VMab, or for Equipment malfunctlon caused by auch tansmission
<br />medium.
<br />SKtIon 6 TIME AND PLACE OF SERVICE

<br />soIIware elements of any system with which tne Equipment is inIerfacing 80 that MctoroIa may
<br />perform ita Services. Unless Olhefwisestaled In lhisAgreemenI, the hours dServlce wiI be 8:30
<br />8.m. to 4:30 p.m., kx:alllme, excluding weelllnds and holidays. Unless otherWise stated in this
<br />Agl68ll18llt, the price for the Servic&s exclude any chalges or expenses associated with helicopter

<br />Sectton 7 CUSTOMER CONTACT
<br />Cu$lOmer win provide Motorola with designated points of contact (list of names and phone
<br />numbers) Ih8I will be evailable twenty.lour (24) hours per day, seven (7) days per week, and an
<br />89C8lation prooedure to enable Customer's perqo nneI to maintain contact, as needed, with

<br />s.ctIon a PAYMENT
<br />Unless altemallve payment terms are specilically staled in this Agreemlllt, Motorola will invoice
<br />Customer in advance for 88Ctl payment 1Briod. All otI1er ctlerglM will be blIled monlhly, and
<br />CUatomer must pay eac:h hwoioe in U$. dollars wlthIn twenty (20) days of the invoice date.
<br />Customer agmes to reirnburall MotofoIa for aI property 1u88, sales and IJ88 taxes. excise 18xe8,
<br />and other Iaxes or assessm8nl8 levied as a result of Services rern:kMlKl undet this Agreement
<br />(exQlpt Income, profit, and franchise taxes of Motorola) by any govemrnentalentity.
<br />Sedfon t WARRANTY
<br />MOlDrOIa W81'18nts tl\lll its Servlo8e under this Agreemert Win be free of def8cls in rnater1a18 and
<br />workmlmhipfur a period of ninety (90) days from !he datB!he performance of the Services are
<br />completed. In the event of a bread! of this warranty, Ctatomer's sole remedy is to require
<br />Motorola to re.perform tile non-conforming Service or to refund, on a pll)rata basis, the fees paid
<br />for the fIOn-COnforming Service. MOTOROLA DISClAIMS All OTHER WARRANTIES,
<br />EXPRESS OR IMPUED, INCLUDING THE tMPUED WARRANTIES OF MERCHANTABLrTY
<br />AND F~ESS FOR A PARTICUlAR PURPOSE.
<br />SecDon 10 DEFAULTfTERMINATION
<br />10.1. If either petty defaults in the performance of this AQt8ement, the other party wlU give>> the

<br />10.2. Any termination of IhIs Agl88ment will not relieve either psrty of obIigatlona previously
<br />inculT"ed pursuant to this Agrflement, including payments which may be due and owing at the time
<br />of termination. AI $Urns owed by Customer to Motorola wiN become due and payable immadiltely

<br />SectIon 11 lIMITATION OF UABlUTY

<br />provided under this Agreement. ALTHOUGH THE PARTIES ACKNOWlEDGE THE
<br />POSSIBILITY Of SUCH lOSSES OR DAMAGES, THEY AGREE THAT MOTOROLA WIlL NOT
<br />BE lIABlE FOR ANY COMMERCIAL LOSS: INCONVENIENCE; LOSS OF USE, TIME, DATA,
<br />GOOD wtLL, REVENUES, PROATS OR SAVINGS; OR OTHER SPECIAL., I/ClDENTAL,
<br />INDIRECT, OR CONSEQUENTIAL DAMAGES IN ANY WAY RELATED TO OR ARISING FROM
<br />THIS AGREEMENT OR THE PERFORMANCE OF SERVICES BY MOTOROLA PU RSUANT TO
<br />THIS AGREEMENT. No action for breach of this AQnMlment or otherWise ralaIll1l to the
<br />transactions conIelnplated by this AgrHm8RI may be broIJght more Ihan one (1) year after the
<br />accrual of such cause of acIlon, 8XD8PI for money due upon WI I:p8O aooourt. This Mmitation of
<br />liabUlty will SUMve the expIra~on or termination of this Agreement.
<br />Sectton 12 EXCWSlVE TERMS AND CONDlnoNS
<br />12.1. This Agtgement 8Up&rsedes all prior and concurT8nI. agreements and unc\ersIandings
<br />between the partiee, whether written or oral, related to !he ServIces, and there are no agn.ements
<br />or rep19eentalions eonoeming the sub;ec::t matter of this Agreement except b those exprwsed
<br />herell'L The Agr~ent may not be amended or modified except by a written agreemsm.~

<br />12.2. Customer agrees to I1lf8reno& this Agreement on any purchase order 8sued in furlheran;;e

<br />IXI"chase order, acknowledgement, or othar writings unless: (i) such purc1'iaae order,

<br />Sec:Ion 13 PROPRIETARY IIFORMATION; CONRDENTlAUTY; INTEUECTUAL
<br />PROPERTY IUGHTS
<br />13.1. Any information or data In !he form r:I specificatiOns. drawings, reprinls, tachnical
<br />information or otherwise furnished to Customer under Ihis Agreefnent wiO remain Motorola's
<br />property, will be deemed proprietary, will be kapt confidential, and wiH be pf'ORlllly returned eI
<br />Mdorola's raqueat. Cust<<ner may not disdoM, without MoI0r00i's ~ penniseion or as
<br />requirect by law, any such information or data to any person, or usa such information or data Itself
<br />for any purpose other tl\lln performing its obligations undw this Agreement. The obligations set
<br />forth in this SecIlon wiU survive the expiration or termination of this Agreement.
<br />13.2. Unless otheIwisa agread in wriling, no commBR:ial, finaOl;:1a1 or I&ehnlcaI informitlon
<br />ditclosed in any maooer or at any lime by Customer to MotomIa wi. be deemed secnK or
<br />confidel1l1al. Motorola will have no obligallon to provide Customer with accesa to lis confidential
<br />and proprietatylnformation, Including cost and pricing data.
<br />13.3. ThiI Agl'8l8ment doe8 not grant directly or by Implication, eA:lppel, or oIherWlae, any
<br />ownership right or license under any Motorola patent, CXlp}'IighI, hde seaeI, or other inIeIIectusl
<br />propertyinclullng anylnlehcUalpropertyaeatlJd as a resull of or related tolheEqlipmentaold
<br />orServlcesperformed under thlsAgrBl;Imenl.
<br />s.ction 14 FCC UCE;NSES AND OTHER AUTHORIZATIONS
<br />Customer il soIaly responaible for obtaining license& or other authorizations requirect by the
<br />Federal CanlTRlnications CQrnmisllion or any other fedaral, slate, or local government agency and
<br />forcompyingwithelltulesendregu\ationsrequlredI7iSUchag&l1CilM. NeilherMolDlolanorany
<br />of Its employees Is an agent or represantatlve of CUstomer in any governmental matlers.
<br />Sectton 15 COVENANT NOT TO EMPLOY

<br />CUstomer win safeguard all such property while it is in CUltomer'S custody or~, be liable for

<br />17.6. THIS AGREEMENT Will RENEW, FOR AN ADDITIONAL ONE (1) YEAR TERM, ON
<br />EVERY ANNIVERSARY OF THE START DATE UNlESS EITHER THE COVER PAGE
<br />SPECIFICALLY STATES A TERMINATION DATE OR ONE PARTY NOTIFIES THE OTHER IN
<br />WRITING Of ITS INTENTION TO DtSCONTlNUE THE AGREEMENT NOT LESS THAN THIRTY
