Any <br />and all disagreements between Grantor and Grantee on this <br />subject shall be promptly submitted to arbitration in accor" <br />dance with the rules of the American Arbitration Association, <br />provided that if a disagreement should exist with respect to <br />"costs" or "adjustments" to rate structure, then Grantor and <br />Grantee each shall submit their respective dollar estimates <br />for such "costs" and "adjustments") and the Arbitration panel <br />will then select either Grantor's estimate or Grantee's estimate, <br />based upon an evaluation of which is more reasonable. <br /> <br />Grantee shall cooperate and assist as required in the <br />annual quality review conducted by the Community Cable Citizens <br />Board. <br /> <br />10.7 Complaint Procedure. At least twenty five (25) <br />days prior to the date of acceptance of the franchise by <br />Grantee, Grantee shall provide a complaint procedure to <br />Grantor's City Manager for review and approval. Upon such <br />approval by the City Manager, Grantee shall abide by the <br />terms and conditions of such approved complaint procedure. <br /> <br />SECTION 11. <br /> <br />RIGHTS OF INDIVIDUALS PROTECTED <br /> <br />11.1 Discriminatory Practices Prohibited. Grantee shall <br />not deny sërvice, deny access, or otherwise discriminate <br />against subscribers, programmers, or general citizens on the <br />basis of race, color, creed, religion, national origin, marital <br />status, sex or age. Notwithstanding the foregoing, nothing <br />herein shall be construed as limiting the requirement or <br />ability of Grantee to assist or provide lower differential <br />rates for qualified senior citizens. Grantee shall strictly <br />adhere to the equal employment opportunity requirements of <br />the Federal Government, as expressed in Section 76.13(a)(8) <br />and 76.311 of Chapter 1 of Title 47 of the Code of Federal <br />Regulations as the same now reads or as hereafter amended. <br />Grantee shall comply at all times with all other applicable <br />Federal, State and City laws, and all executive and administrative <br />orders relating to non-discrimination. <br /> <br />11.2 Invasions of privacy and of Personal Rights Prohibited. <br /> <br />In the conduct of providing its services or pursuit <br />of any collateral commercial enterprise resulting therefrom, <br />Grantee shall take any and all necessary action to prevent an <br />invasion of a subscriber's or a general citizen's right to <br />privacy or other personal rights as such rights are delimited <br />and defined by applicable law. Grantee shall not without <br />lawful court order or other applicable valid legal authority <br />utilize the system's interactive two-way equipment or capability <br />for unauthorized personal surveillance of any subscriber or <br />general citizen. <br /> <br />-36- <br />
