<br />'4 <br /> <br />,^ . <br /> <br />" <br /> <br />¡ -" <br /> <br />" <br /> <br />(b) Grantor shall schedule a hearing on the question <br />of renewal, with such hearing to take place at least six (6) <br />months before expiration of the franchise. At least ten (10) <br />days advance written notice of such hearing shall be given to <br />Grantee and shall be published in a newspaper of general <br />circulation in the City. At such hearing, Grantee shall have <br />full due process of law including the opportunity to appear <br />and be heard. <br /> <br />(c) Based upon information introduced at the hearing, <br />and any other relevant information that it may obtain from <br />Grantee, Grantor shall make a determination as to whether <br />Grantee has substantially complied with material requirements <br />of the franchise. Such determination shall be made not less <br />than two (2) months before the franchise expires, and a copy <br />of the written determination supplied to Grantee. <br /> <br />12.5 Continuit~ of Service Mandatory. It shall be the <br />right of all subscrlbers to receive all available services <br />insofar as their financial and other obligations to Grantee <br />are honored. In the event that Grantee elects to overbuild, <br />rebuild, modify, or sell the system, or Grantor revokes or <br />fails to renew the franchise, Grantee shall do everything <br />reasonable in its power to insure that all subscribers <br />receive continuous, uninterrupted service regardless of the <br />circumstances, during the lifetime of the franchise or for a <br />reasonable time beyond expiration of the franchise if required <br />by Grantor. In the event of purchase by Grantor, or a change <br />of Grantee, the current Grantee shall cooperate with Grantor <br />to operate the system for a reasonable temporary period, <br />which would maintain continuity of service to all subscribers. <br /> <br />SECTION 13. <br /> <br />RIGHT TO PURCHASE; REMOVAL <br /> <br />13.1 Condemnation <br /> <br />Unless otherwise provided herein, Grantor may in <br />any lawful manner and upon the payment of fair market value <br />lawfully ascertained, purchase, condemn, acquire, take over <br />and hold the property and plant of Grantee in whole or in <br />part. <br /> <br />13.2 Removal <br /> <br />Unless otherwise acquired by Grantor, if the fran- <br />chise is revoked or the term expires, Grantee agrees to remove <br />its system from the City within six (6) months from and after <br />the date Grantee is notified by Grantor to remove its system <br />from the City. <br /> <br />-40- <br />
