Upon receipt of such notification, Grantor <br />shall determine if a material provision of the franchise is <br />affected. Upon such determination, Grantor shall have the <br />right to modify or amend any of the sections of the franchise <br />to such reasonable extent as may be necessary to carry out <br />the full intent and purpose of the franchise. Grantee agrees <br />to fully cooperate in pursuing any modifications or amendments <br />of the franchise as may be necessary to carry out the intent <br />of the parties hereto. Grantor may terminate the franchise <br />in the event Grantor reasonably determines that substantial <br />and material compliance with the original proposed terms of <br />the franchise has been frustrated by such State or Federal <br />requirement. In the event Grantor shall terminate the franchise <br />pursuant to this section, Grantor shall purchase the system <br />from Grantee at fair market value. <br /> <br />SECTION 15. <br /> <br />FORCE MAJEURE; GRANTEE'S INABILITY TO PERFORM <br /> <br />Grantee's performance of any of the terms, con- <br />ditions, obligations, or requirements of this franchise shall <br />not be deemed to be in default where delay or defaults are <br />due to war, insurrections, strikes, lock-outs, riots, floods, <br />earthquakes, fires, casualties, acts of God, acts of the <br />public enemy, epidemics, quarantine restrictions or priorities, <br />litigation, unusually severe weather, inability to secure <br />subcontractors or supplies, acts or failure to act of Grantor <br />or any other public or governmental entity other than Grantor, <br />or any other cause beyond the control or without the fault of <br />Grantee. An extension of time for any such cause shall be <br />for the period of the enforced delay and shall commence to <br />run from time of the commencement of the cause, if notice by <br />Grantee claiming such extension is sent to Grantor within ten <br />(10) days of the commencement of the cause. <br /> <br />SECTION 16. <br /> <br />NOTICE <br /> <br />Formal demands, notices and communications between <br />Grantor and Grantee shall be sufficiently given if dispatched <br />by United States mail, postage prepaid, to the principal <br />office of Grantor at 20 Civic Center Plaza, Santa Ana, California <br />92701, or Grantee at 888 Seventh Avenue, New York, New York <br />10106, or to such other address as either party may, from <br />time to time designate. Notices shall be deemed made on the <br />date of deposit in the United States mail. <br /> <br />SECTION 17. <br /> <br />TAXES AND ASSESSMENTS <br /> <br />Grantee recognizes and understands that this <br />agreement may create a possessory interest subject to property <br /> <br />-42- <br />
