<br />(d) provide the tenns and conditions by which Developer can develop its showrooms, <br />parking garage, repair center and ancillary facilities; and <br /> <br />(e) facilitate the economic development ofthe City of Santa Ana and the Project Area, as <br />defined in Section 103 of this DDA. <br /> <br />The rehabilitation and redevelopment by the Developer pursuant to this DDA, and the <br />fulfillment generally of this DDA, are in the vital and best interest of the City and the health, <br />safety, morals, and welfare of its residents, and in accord with the public purposes and provisions <br />of applicable laws and requirements <br /> <br />Section 102. The Redevelopment Plan <br /> <br />This DDA is subject to the provisions of the South Main Street Redevelopment Plan <br />which are incorporated herein by this reference and made a part hereof as though fully set forth <br />herein. Any amendment to the South Main Street Redevelopment Plan which changes the <br />restrictions or controls that apply to the parcels to be developed by the Developer as defined <br />hereafter, shall require the written consent of the Developer. Any other amendments of the <br />South Main Street Redevelopment Plan applying to other property in the Project Area shall not <br />require the consent of the Developer, or its successors or assignees. <br /> <br />Section 103. The Proiect Area <br /> <br />The "Project Area" is located in the City of Santa Ana, California, and is more <br />specifically described in the Redevelopment Plan. <br /> <br />Section 104. <br /> <br />The Propertv <br /> <br />The "Property" is the real property on which the Project is to be constructed, which is that <br />portion of the Project Area which is shown on "Attachment No.1", attached hereto and <br />incorporated herein by this reference, and is more fully described in "Legal Description" of the <br />Property, which is incorporated herein by this reference and attached hereto as "Attachment <br />No.2". The Property consists of one parcel ofland owned by Agency (designated "Parcel A" <br />and "Parcel B" on Attachment Nos. I & 2), and one parcel of land owned by Developer <br />(designated "Parcel C" on Attachment Nos. 1 & 2). The Property does not include the Option <br />Area, unless and until fee simple title to it is acquired by the Developer. At or prior to close of <br />escrow of Parcel A, the parties (the Agency acting through and by it's Executive Director) may <br />mutually agree to adjust, consistent with an approved lot line adjustment submitted by Developer <br />and approved by the City of Santa Ana, the boundaries of Parcel "A" with respect to Parcel "B"; <br />provided, however, that such adjustment shall not affect the total area of Parcel "A" plus Parcel <br />"3" and that such changes are recorded in the grant deed transferring both Parcels from Agency <br />to Developer. <br /> <br />2 <br />
