This Facilities License Agreement, dated as of :.1ilYl E ~ 8' u...~ entered into by and between Delhi Center, a California Corporation ("Owner") and the CITY OF SANTA ANA municipal corporation ("Licensee"). ~ DELHI ctJdllnU1\:it:r , t ð .. In consideration of Licensee's promise to pay the fees set forth in the Licensee Fee Schedule attached to this Agreement as Schedule A ("Fee Schedule"), Owner agrees to reserve and make available for the benefit of Licensee the area(s) identified as All Authorized Rooms except Ki tchen ("Authorized Area") comprising a portion of the Owner's facilities located at 505 East Central Avenue, Santa Ana, California 92707 (the "Center") for an extended term from , 200- ("Event Starting Date") until , 200- (Event Ending Date) to be held on Jul Ll 17,200 4(Day of Event) for the temporary, non-exclusive use of Licensee for the purposes of conducting the following event: Camp Success - Youth (the "Event"). This Agreement constitutes Owner's grant of a temporary license to Licensee to use the Authorized Area during the above time periods and does not constitute a lease or grant of any possessory, leasehold or ownership interest in the Center. 2. License Fees and Deposits. Licensee agrees to pay Owner the License Fee(s) set forth in the Fee Schedule, which Schedule is incorporated into this Agreement by reference and made a part hereof. Upon the execution of this Agreement, the Licensee shall pay to the Owner one-half of the total fees due under the Fee Schedule as a deposit ("Fee Deposit"), plus a security deposit ("Security Deposit") in the amount set forth on the Fee Schedule. The Security Deposit shall be held by the Owner as security for the Licensee's performance under this Agreement and the schedules hereto, and may be applied by the Owner against the fees and charges owed by Licensee to Owner under this Agreement, Owner's damages or losses arising from Licensee's violation or breach of this Agreement or the schedules hereto, and any damage to the Center or the Owner's Property caused by the Licensee or its Vendors (as defined below), guests or invitees. The remaining portion of the Security Deposit, if any, following such application will refunded by Owner to Licensee within twenty-five (25) days following the Event Date. Owner shall not be obligated to segregote the Fee Deposit and the Security Deposit from Owner's other funds. Th.e remaining portion of the fees due under the Fee Schedule shall be due and payable not later than one hundred twenty (120) days prior to the Event Date.
