Licensee may cancel this Agreement by providing written notice <br />to Owner at least one hundred twenty (120) days prior to the first Event date, in which <br />event the Owner will issue to Licensee a refund of all monies paid (including the Fee <br />Deposit and Security Deposit) as reduced by a One Hundred Dollar ($100.00) <br />administration fee and a Twenty-Five Dollar ($25.00) service charge. In the event that <br />Licensee cancels this Agreement within one hundred twenty ("120) days of the first Event <br />Date or if Licensee fails to pay the balance of the License Fee(s) on or prior to one <br />hundred twenty days (120) days before the first Event Date, the Owner may terminate <br />this Agreement and retain seventy-five percent (75%) of the Fee Deposit as a <br />cancellation fee and will remit the balance of the Fee Deposit and Security Deposit to <br />Licensee. <br /> <br />4. Licensee's Responsibilities; Indemnification. Licensee shall use the Center solely <br />for the purposes of conducting the Event as described above and in Licensee's Event <br />Application submitted to Owner. Licensee agrees to comply with, and cause its <br />Vendors, guests and invitees to comply with, all of the Center Rules and Regulations <br />("Rules and Regulations") attached hereto as Schedule B and incorporated into this <br />Agreement by reference and made a part hereof. Licensee represents and warrants <br />that all of the information contained in the Event Application submitted to the Owner is <br />accurate in all respects. Licensee assumes full responsibility for the actions or activities <br />of any person attending the function as Licensee's Vendor, guest or invitee. Licensee <br />shall have the sole responsibility to hire and supervise all vendors providing services at <br />the Event, including caterers, bartenders and security providers ("Vendors") and shall <br />have sole responsibility for service of food and/or alcoholic beverages to its guests or <br />invitees during the Event. <br /> <br />Licensee hereby agrees to indemnify, defend and hold harmless Owner and its officers, <br />directors, members, employees, agents and representatives ("Indemnitees") from any <br />and all losses, damages, claims, actions, suits, judgments, liabilities, obligations, costs <br />and expenses (including, without limitation, reasonable attorneys' fees) (collectively, <br />"Losses") incurred or suffered by any of the Indemnitees by reason of, arising out of, or <br />relating to Licensee's breach or violation of its representations, warranties or covenants <br />under this Agreement or the schedules hereto, the actions or omissions by Licensee or its <br />Vendors, guests or invitees, or the use of the Center by Licensee or Licensee's Vendors, <br />guests or invitees except to the extent such Losses are caused by the gross negligence <br />or willful misconduct of Owner. . <br /> <br />5. Insurance and Licenses.
