In the event that <br />Licensee comprises a business, nonprofit or governmental entity or organization, <br />Licensee shall also furnish to Owner certificate{s) of insurance or other evidence of <br />insurance satisfactory to Owner that Licensee has general liability insurance of at least <br />One Million Dollars ($1,000,000.00) per occurrence and One Million Dollars <br />($l,OOO,OOO.OO) aggregate coverage. Owner may require that Licensee cause all such <br />policies to list Owner as an additional insured or loss payee on such policies and/or <br />contain the insurer's waiver of subrogation rights against the Owner. All such insurance <br />of Licensee or Vendors shall be primary insurance and shall not be contributory with any <br />insurance maintained by Owner. <br /> <br />6. Owner Reservation of Riqhts; Force Majeure. Owner reserves the right to control, <br />use and possess the Center as it sees fit, including holding other events or functions in <br />areas of the Center other than the Authorized Area at the same times as the Event. <br />Owner may elect to relocate the Event from the Authorized Area indicated above <br />(other than the Serafine's Ballroom) to other locations at the Center as may required by <br />scheduling requirements for the Center; provided that Owner shall endeavor to provide <br />to Licensee prompt notice of such relocation and to select space suitable for the <br />purposes of Licensee's Event. <br /> <br />Owner reserves the right to terminate the Event ar)d the Licensee's license hereunder in <br />the event that the activities by Licensee or its Vendors, guests or invitees at the Event <br />constitute or result in a public disturbance or nuisance, threat to public safety or health, <br />criminal activity or violation of law, are inconsistent with the description of the Event in <br />the Event Application and this Agreement, or are in violation of the Rules and <br />Regulations. In the event of any such termination, Owner shall be entitled to retain all <br />fees and deposits paid by Licensee. <br /> <br />In the event of any fire, flood, natural disaster, inclement weather, utility or <br />transportation disruption or other event beyond the reasonable control of Owner or <br />Licensee which, in the option of Owner, would interfere with the holding of the Event, <br />the Event shall be cancelled or rescheduled as provided in this paragraph. In the event <br />that Owner determines that the Center is available for Licensee's use to hold the Event <br />on alternative day(s) within sixty (60) days following the original Event Date, Owner shall <br />promptly notify Licensee of the same. In the event that Licensee selects any such date <br />by written notice to Owner delivered within seven (7) days of Owner's notification of the <br />availability of the alternative date(s), the Event will be rescheduled to such date, which <br />date shall be deemed the Event Date for the purposes of this Agreement and this <br />License Agreement will continue in full force and effect.
