AGREEMENT TO SUPPLY CLAIMS DATA TO PERI'S DATA EXCHANGE This Claims Data Supplier Agreement ("Agreement") is between the Public Entity Risk Institute (PERI), a nonprofit organization with principal offices located at 11350 Random Hills Rd., Suite 210, Fairfax, VA, 22030, and the organization named in Section 9 (Authority and Organization Named as Data Supplier) of this agreement, known as the Data Supplier Organization (Supplier), who are sometimes collectively referred to in this agreement as the "Parties." WHEREAS, Supplier's business activities generate information about claims against Public Entities; WHEREAS, Supplier is a member of CAJP A (California Association of Joint Powers Associations) / PARMA (Public Agency Risk Management Association) or an organization that will be submitting data on behalf of or at the request of one or more members of CAJP A and/P ARMA; WHEREAS, The California Institute for Public Risk Analysis (CIPRA) is a data-gathering committee of CAJP A, with the goal of collecting, compiling and disseminating risk management related data for the benefit of California public agencies. CIPRA will use the data collected by PERI in its reports; WHEREAS, PERI's business activities include the PERI Data Exchange ("Data Exchange"), a database through which it collects information pertaining to claims against Public Entities ("Data") and develops information based on that Data; WHEREAS, CIPRA is working with PERI to enhance CIPRA's data collection efforts using the PERI Data Exchange; WHEREAS, PERI wishes to extend to Supplier the ability to participate in the Data Exchange; and WHEREAS, Supplier wishes to participate in the Data Exchange by contributing data to the database on its own behalf, or on behalf of, or at the request of, public entity clients. NOW THEREFORE, for good and valuable consideration, PERI and Supplier agree as follows: 2. SUPPLIER RESPONSIBILITIES 2.1 Supplier or its authorized agent agrees to provide Claims Loss Data to PERI over the Internet, according to the directions provided by PERI, or as otherwise agreed by the Parties. Supplier agrees to provide Data at no cost to PERI and PERI agrees to collect and store Data in the Data Exchange at no cost to Supplier.
