<br />2.2 Claims Data Supplier agrees to provide Data on a periodic basis, at intervals <br />agreed to between the Parties. <br /> <br />2.3 Supplier agrees to have quality processes and procedures in place to ensure the <br />integrity of the Data provided to PERI's Data Exchange, which shall include: <br /> <br />0 A consistent unique identifying code for each claim record <br />0 Accuracy of claims [mancial information for "paid to date" and "outstanding" <br />reserves for designated categories; <br />0 Key dates in the claims cycle; <br />0 Loss type or coverage coding for each claim; and <br />0 Consistent identification codes for the Claims Data Supplier and the Public Entity that <br />generated the claim. <br /> <br />2.4 Supplier agrees to cooperate with PERI to resolve errors detected when the Data <br />is loaded into the Data Exchange and tested. This cooperation may include, but not be limited <br />to, providing access to Supplier Personnel who can verify the accuracy of Supplier's claims <br />reports and the Supplier's loss reporting and transmittal methods. Only those errors that can be <br />detected by examination of the submitted Data will be reported to Supplier. PERI's Data <br />Exchange verification procedures are intended only to confirm that the Data is properly <br />configured for the Data Exchange, and to serve the needs of the Data Exchange, and such <br />verification does not constitute an audit of, or guarantee the accuracy or reliability of, Supplier's <br />Data for its own business purposes. <br /> <br />3. <br /> <br />OBLIGATIONS OF PERI <br /> <br />3.1 In consideration for the Supplier's participation in PERI's Data Exchange, PERI <br />will give Suppliers that have provided current Data and the Public Entities for which they have <br />supplied Data free access to the standard reports available on the web based Data Exchange. <br />PERI also will give consideration to discounted Data Exchange access rates to Data Suppliers if <br />those Suppliers enter into a separate Data Exchange Subscriber Agreement for services beyond <br />the standard reports available from the Data Exchange web reports. PERI may also provide <br />other good and valuable consideration, as agreed to by the parties. Any fees for data available <br />through CIPRA will be as agreed to by Supplier and CIPRA and PERI may elect to waive all or <br />part of any Data Exchange subscriptions beyond CIPRA services. <br /> <br />3.2 PERI agrees to include in any PERI Data Exchange Subscriber Agreement a <br />disclaimer of all warranties and limitations of liability for the benefit of PERI, Suppliers and the <br />Public Entities for which they supply data, and other appropriate parties. The Data Exchange <br />Subscriber Agreement also shall provide that a subscriber's exclusive remedy for any claim for <br />damages arising from Data Exchange services or information, whether based on contract or <br />negligence, will be limited to the aggregate amount of fees paid by the subscriber during the 12- <br />month period preceding the notification of such claim. <br /> <br />3.3 PERI will provide timely information and assistance to help Suppliers adapt to <br />any future changes in the PERI Data Standard. <br /> <br />CIPRA Claims Data Supplier Agreement January 14,2004 <br /><0 2004 Public Entity Risk Institute <br />
