<br />4. <br /> <br />OWNERSHIP OF DATA AND OTHER INTELLECTUAL PROPERTY AND <br />GRANT OF LICENSE TO USE DATA <br /> <br />4.1 All Data, patents, trademarks, trade names, copyrights, trade secrets, proprietary <br />information, and all other intellectual property contained therein (including, but not limited to, <br />the PERI Data Exchange and Data Standard, and any associated technologies, standards, <br />protocols, report formats, databases and information and training materials) are owned by and <br />shall remain the property of their respective owners and are protected by United States and <br />international copyright laws and international treaties. <br /> <br />4.2 Supplier grants PERI a non-exclusive, worldwide license to use its Data in <br />accordance with the terms and conditions of this Agreement. The Supplier understands that its <br />Data will be loaded into PERI's Data Exchange and combined with Data from other Suppliers to <br />produce aggregate information that will be used to develop products and services offered in any <br />format by PERI, its agents, or other individuals or organizations under agreements with PERI. <br />The Supplier agrees that PERI owns (and may assign or transfer) all rights to products and <br />services developed based upon, or using, aggregate Data Exchange information. <br /> <br />4.3 Supplier further gives PERI permission to provide its Data to CIPRA for CIPRA's <br />use as the "CIPRA Data Exchange." Supplier understands that CIPRA will use this data to <br />generate various loss reports and analyses, and agrees that CIPRA's use of this data will be <br />governed by CIPRA's own privacy and confidentiality policies and by any separate agreements it <br />has with the Supplier. <br /> <br />5. <br /> <br />SECURITY AND CONFIDENTIALITY <br /> <br />5.1 To the extent that Data is transmitted over Internet systems, PERI will take <br />reasonable security precautions to protect the Data, but PERI disclaims any liability for <br />interception of any such Data, including encrypted Data, in transit to the Data Exchange. <br /> <br />5.2 PERI will provide reasonable security measures to protect Data in the Data <br />Exchange from unauthorized access, but will have no liability for any unauthorized third party <br />intrusion into the Data Exchange. <br /> <br />5.3 <br /> <br />PERI will have no liability for reverse engineering of the Data Exchange. <br /> <br />5.4 Security features employed by PERI will include, but not be limited to, user <br />identification, passwords, and secure socket layer technology for Web security, or some variation <br />of this technology. <br /> <br />5.5 PERI will not publish reports and other products and services that compare the <br />performance of public risk pools, third party administrators, or insurers.
