County of San Joaquin <br />The following are general terms that San Joaquin County expects to be part of the final <br />contract to be negotiated following selection of the proposer. Each proposal should <br />identify which of the provisions, if any, is not acceptable and set forth proposed <br />language, which is acceptable. Proposal(s) may include a copy of the proposer's standard <br />contract for informational purposes, however the County will not accept a contract based <br />solely on the proposer's terms. <br />■ 6.2 Vendor Representations <br />Each representation of fact and of future performance in the proposer's proposal may be <br />incorporated completely within the contract as a warranty by the proposer. Any <br />statement of fact or of future performance that is not intended by the proposer as a <br />warranty should be clearly identified. <br />ff 6.3 County Required Provisions <br />The contract with the successful proposer shall contain provisions that express in <br />Sections 6.4 through Section 6.21. <br />■ 6.4 Prime Responsibility <br />The selected organization will be required to assume full responsibility for all services <br />and activities offered in its proposal whether or not provided directly. Further, County <br />will consider the selected organization to be the sole point of contact with regard to <br />contractual matters, including payment of any and all charges resulting from the contract. <br />• 6.5 Taxes <br />All quoted charges and rates must include all applicable taxes as a separate item. County <br />is subject to a seven and one -half percent (7.50 %) sales tax, effective January 1, 2001. <br />Proposer shall be required to supply the County with appropriate Tax Identification <br />Numbers. <br />■ 6.6 Contract Administrator <br />The County Purchasing and Support Services Director shall be the Contract <br />Administrator. The Contract Administrator shall be the single authority under the <br />Agreement. Any direction by the Contract Administrator shall be binding on the <br />proposer. Whenever the County is required, by the terms of the Agreement, to provide <br />written notice to the proposer, such notice must be signed by the Contract Administrator <br />or designee. <br />llj <br />
