County of San Joaquin damages, losses, liabilities, expenses and/or costs resulting from the sole negligence of the County. • 6.10 Attorney Fees If any claim, legal action or any arbitration or other proceeding is brought for the enforcement of this Agreement or because of a dispute, breach, default or misrepresentation in connection with any of the provisions of this Agreement, the successful or prevailing party shall be entitled to recover reasonable attorneys' fees and other costs incurred in that claim, action or proceeding, in addition to any other relief to which such party may be entitled. • 6.11 Venue Venue for any action arising out of this Agreement shall be the County of San Joaquin. • 6.12 Governing Law This Agreement shall be construed in accordance with and in all respects governed by the laws of the State of California. ■ 6.13 Amendments & Modifications Any changes in the agreement requested by either the County or the proposer may only be affected if mutually agreed upon in writing by duly authorized representatives of the parties thereto. The agreement shall not be modified or amended or any rights of a party to it waived except by such writing. • 6.14 Termination The County retains the right to terminate the contract immediately, at the sole discretion of the County, if Contractor fails to perform the services or violates the terms of the Agreement. The terms of the Agreement and the services to be provided thereunder are contingent on the approval of funds by the appropriating government agency. Should sufficient funds not be allocated, the services provided may be modified or the Agreement terminated at any time by giving the proposer thirty (30) days advance written notice. All services rendered and accepted by the County will be paid in full up to the time of termination. P,
