County of San Joaquin <br />damages, losses, liabilities, expenses and/or costs resulting from the sole negligence of <br />the County. <br />• 6.10 Attorney Fees <br />If any claim, legal action or any arbitration or other proceeding is brought for the <br />enforcement of this Agreement or because of a dispute, breach, default or <br />misrepresentation in connection with any of the provisions of this Agreement, the <br />successful or prevailing party shall be entitled to recover reasonable attorneys' fees and <br />other costs incurred in that claim, action or proceeding, in addition to any other relief to <br />which such party may be entitled. <br />• 6.11 Venue <br />Venue for any action arising out of this Agreement shall be the County of San Joaquin. <br />• 6.12 Governing Law <br />This Agreement shall be construed in accordance with and in all respects governed by the <br />laws of the State of California. <br />■ 6.13 Amendments & Modifications <br />Any changes in the agreement requested by either the County or the proposer may only <br />be affected if mutually agreed upon in writing by duly authorized representatives of the <br />parties thereto. The agreement shall not be modified or amended or any rights of a party <br />to it waived except by such writing. <br />• 6.14 Termination <br />The County retains the right to terminate the contract immediately, at the sole discretion <br />of the County, if Contractor fails to perform the services or violates the terms of the <br />Agreement. <br />The terms of the Agreement and the services to be provided thereunder are contingent on <br />the approval of funds by the appropriating government agency. Should sufficient funds <br />not be allocated, the services provided may be modified or the Agreement terminated at <br />any time by giving the proposer thirty (30) days advance written notice. All services <br />rendered and accepted by the County will be paid in full up to the time of termination. <br />P, <br />
