<br />. <br /> <br />The Escrow Agent shall not be obligated to return any such <br />money, papers or documents except upon the written instructions <br />of both the Agency and the Redeveloper, or until the party <br />entitled thereto has been determined by a final decision of a <br />court of competent jurisdiction. <br /> <br />Any amendment to these escrow instructions shall be in <br />writing and signed by both the Agency and the Redeveloper. At <br />the time of any amendment the Escrow Agent shall agree to carry <br />out its duties as Escrow Agent under such amendment. <br /> <br />All communications from the Escrow Agent to the Agency or <br />the Redeveloper shall be directed to. the addresses and in the <br />manner established in Section 7 of this Agreement for notices, <br />demands, and communications between the Agency and the Redeveloper. <br />Nothing in this Section shall be construed to impair or affect <br />the rights or obligations of the Agency or the Redeveloper to <br />specific performance. <br /> <br />. <br /> <br />The liability of the Escrow Agent under this Agreement is <br />limited to performance of the obligations imposed upon it under <br />paragraphs (b) through (e), both inclusive, of this Section. <br /> <br />The Agency shall .not be liable for any real estate commis- <br />sions or brokerage fees which may arise herefrom. The Agency <br />and Redeveloper each represent to the Escrow Agent and to each <br />other that it has engaged no broker, agent or finder in connection <br />with this transaction. <br /> <br />(c) Conve ance of Title and De1ive of Possession. Subject <br />to any mutua y agreed upon extens~ons of t~me, conveyance to the <br />Redeveloper of title to the Property shall be completed 'on or <br />prior ~o the da.te specified on the "Schedule of Performance" <br />incorporated herein and attached to this Agreement as Attachment <br />No.3. The Agency and the Redeveloper agree to perform all acts <br />necessary to conveyance of title in sufficient time for title to <br />be conveyed in accordance with the foregoing provisions. <br /> <br />. <br /> <br />Possession of the Property shall be delivered to Redeveloper <br />concurrently with the conveyance of title, except that limited <br />access may be permitted before conveyance of title as permitted <br />by the Agency. The Redeveloper shall accept title and possession <br />on or before said date. <br /> <br />(d) Time for and Place of Deliver~ of Deed. Subject to <br />any mutually agreed upon extension of t~me, the Agency shall <br />deposit the deed to the Property with the Escrow Agent on or <br />before the date established for the date of conveyance pursuant <br />to the "Schedule of Performance." <br /> <br />-7- <br />
