<br />(E) Any resignation or removal of the Trustee and appointment of <br />a successor trustee pursuant to any of the provisions of this Section shall <br />become effective upon notice of or acceptance of appointment by the successor <br />trustee as provided below. <br /> <br />910. Acceptance of Appointment of Successor Trustee. Any successor <br />trustee appointed, as above provided, shall execute, acknowledge and deliver <br />to the Agency to all Paying Agents and to its predecessor trustee an <br />instrument accepting such appointment hereunder and expressly stating that it <br />fully satisfies the requirements for trustee as provided by this Resolution, <br />and upon the resignation or removal of the predecessor trustee shall become <br />effective and such successor trustee, without any further act, deed or <br />conveyance, shall become vested with all the rights, powers, duties and <br />obligations of its predecessor hereunder, with like effect as if originally <br />named as trustee herein; but, nevertheless, on the written request of the <br />Agency or of the successor trustee, the trustee ceasing to act shall, upon <br />payment of its charges then unpaid, execute, acknowledge and deliver an <br />instrument transferring to such successor trustee all the rights and powers of <br />the trustee ceasing to act. Upon request of any such suècessor trustee, the <br />Agency shall execute any and all instruments in writing for more fully and <br />certainly vesting in and confirming to such successor trustee all such rights <br />and powers. Any trustee ceasing to act shall, nevertheless, retain a lien <br />upon all property or funds held or collected by such trustee to secure any <br />amounts then due it and all such other rights provided for in Section 906. <br /> <br />The trustee ceasing to act shall upon such vesting thereafter be fully <br />relieved and discharged of and from all further liability or responsibility <br />either to the Agency or to the Holders of the then Outstanding Bonds except to <br />the extent of liability, if any, arising prior to such vesting in the <br />successor trustee. <br /> <br />No successor trustee shall be appointed under the provisions of this <br />Resolution or be substituted for the present Trustee hereunder or for any <br />successor of the present Trustee hereunder unless the Commissioner of <br />Corporations of the State of California shall have been notified in writing of <br />such proposed appointment or substitution and shall not have disapproved <br />thereof within a period of fifteen (15) days after the giving of such notice, <br /> <br />911. Merger or Consol idation of Trustee. Any corporation into which <br />the Trustee may be merged or with whlch lt may be consolidated, or any <br />corporation resulting from any merger or consol idation to which the Trustee <br />shall be a party, or any corporation succeeding to the corporate trust <br />business of the Trustee shall be the successor trustee hereunder, provided <br />such corporation shall be eligible hereunder, without the execution or filing <br />of any paper or any further act on the part of any of the parties hereto, <br />anyth ing herein to the contrary notwiths tanding. <br /> <br />912. Requirements as to Trus tee I s Records.
