Resignation or Removal of Paying Agents and Appointment of <br />Successors. Any Paying Agent may at any time resign and be discharged of the <br />duties and obligations created by this Resolution by giving at least sixty <br />(60) days' written notice to the Agency and the Trustee. Any Paying Agent may <br />be removed at any time by an instrument filed with such Paying Agent and the <br />Trustee and signed by an Authorized Officer. Any successor Paying Agent shall <br />be appointed by the Agency and shall be a bank or trust company organized <br />under the laws of any state of the United States or a national banking <br />association and willing and able to accept the office of Paying Agent on <br />reasonable and customary terms and authorized by law to perform all the duties <br />imposed upon it by this Resolution. <br /> <br />In the event of the resignation or rerooval of any Paying Agent, such <br />Paying Agent shall pay over, assign and deliver any moneys held by it to its <br />successor, or if there be no successor then appointed, to the Trustee until <br />such successor be appointed. <br /> <br />54 <br />
