<br />negotiate a contract price based on available funding and a further breakdown ofthe not-to-exceed cost <br />submitted in the fee proposal. <br />The fee proposal shall be divided into two separate fees for Part I, analysis of existing facilities, and Part 2, - <br />Construction documents, specifications, permits and construction support and oversight. <br />7. DESIGN/BUILD AGREEMENT <br /> <br />A sample Agreement is enclosed for your review, as Exhibit "C". The RFP and the Vendor/Contractor's <br />proposal will be attached and become part of the agreement as exhibits. <br />8. INSURANCE REOUlREMENTS <br />A certificate of insurance is enclosed for your reference as Exhibit "B". Please refer to the sample agreement <br />for the necessary amounts of general tiability, automotive, worker's compensation and professional liability <br />insurance. The appropriate endorsements are also shown within the sample contract agreement. The <br />certificate shall include the City of Santa Ana, its officers and employees as insured or additional insured. <br />9. CITY RESPONSIBILITY <br />The City of Santa Ana will be responsible for the following: <br />A. Providing all available existing plans and records. Vendor/Contractor is responsible for researching <br />available records and paying for copies of records. <br />B. Coordinating access to the site for vendor/contractor review prior to submittal of proposal. <br />C. Providing base sheets, configuration files and the City of Santa Ana's CAD Standards. <br />10, EXAMINATION OF SITE PRIOR TO SUBMITTING PROPOSAL <br /> <br />Each Vendor/Contractor must inform himself fully of the conditions relating to the project and the employment <br />oflabor thereon. Failure to do so will not relieve a successful bidder of the obligation to carry out the <br />provisions of the contract. A site visit is scheduled for October I, 2004 at 10:00 a.m. <br />II. RIGHT TO REJECT PROPOSALS <br /> <br />A. The City of Santa Ana reserves the right to reject any or all proposals submitted and no representation <br />made hereby that any contract will be awarded pursuant to this RFP or otherwise. <br />B. All costs incurred in the preparation of the proposal, the submission of additional information and/or any <br />aspect of a proposal prior to award of a written contract will be borne by the respondent. The City will <br />provide only the staff assistance and documentation specifically referred to herein and will not be <br />responsible for any other cost or obligation of any kind that may be incurred by the respondent. All <br />proposats submitted to the City of Santa Ana become the property of the City. <br />12.
