<br />13.11. Good Faith and Further Acts. <br /> <br />In exercising their respective rights and performing their respective obligations, <br />the parties agree to exercise good faith and fair dealing toward one another in order to achieve <br />the purposes of this Agreement. The parties will take such additional actions and sign such <br />additional documents as may be reasonably necessary to effectuate the purpose of this <br />Agreement. <br /> <br />13.12. Binding Upon Successors. <br /> <br />This Agreement is binding upon and inures to the benefit of each of the parties <br />and to their respective transferees, successors and assigns. <br /> <br />13.13. Counterpart Execution. <br /> <br />This Agreement may be executed in multiple counterparts, each of which is <br />deemed to be an original and all of which constitute one and the same instrument. <br /> <br />13.14. Applicable Law. <br /> <br />This Agreement and the transactions contemplated by it are to be construed in <br />accordance with and governed by the applicable laws of the State of California and of the United <br />States. <br /> <br />13.15. Reservation of Rights. . <br /> <br />Acceptance of the terms and conditions of this Agreement will not constitute, or <br />be deemed to constitute, a waiver, either expressly or impliedly, by Grantee or by the Grantor of <br />any constitutional or legal right that either party may have or may be subsequently determined to <br />have, either by subsequent legislation or court decisions. The Grantor and Grantee acknowledge <br />that each reserves all of its respective rights under applicable federal and State Constitutions and <br />laws. <br /> <br />13.16. Cable. Video. and Telecommunications Service Providers Ordinance. <br /> <br />Grantee shall not be required to provide a renewal application deposit nor to <br />reimburse Grantor for any costs associated with renewal, including but not limited to, the costs <br />enumerated in Section 15-256(d) of the Ordinance. <br /> <br />14. DEFINITIONS <br /> <br />(a) Defined Terms. For the purposes of this Agreement, the following words, terms, <br />phrases, and their derivations have the meanings set forth below. When not inconsistent with the <br />context, words used in the present tense include the future tense, and words in the singular <br />number include the plural number.
