2.09 Contract: The term of the Contract will be from date of execution of Contract for a period of one (1) year. Upon exercise of second year maintenance options, the Contract will be extended for an additional year terminating two (2) years from the date of execution. In the case of a dispute regarding quality of services performed, quality of equipment provided, or time to execute the completion of the project, Santa Ana Police Department will notify Linear Systems in writing of the nature of the dispute, the proposed resolution to the dispute, and the time requested to resolve the dispute. Linear Systems will respond in writing and acknowledge receipt of the dispute, agreement or disagreement as to the nature of the dispute, agreement, disagreement, or an alternate proposal for resolution of the dispute, agreement, disagreement, or an alternate proposal for time allowed to resolve the dispute, whether the dispute is covered in the original Contract and Statement of Work, and whether there would be additional charges to resolve the dispute. If Santa Ana Police Department and Linear Systems cannot agree on resolution of any portion of the dispute, a third party will be called to investigate and resolve the dispute. Linear Systems will select the third parry vendor with experience implementing and servicing a DIMS® Solution. Linear Systems will be responsible for payment for service provided by the third party vendor. If Linear Systems requires additional compensation for any additional services or change orders not covered in the original Contract and Statement of Work, such modification of the original Contract shall be a written request executed by Linear Systems and approved in writing by Santa Ana Police Department. The above-specified terms are subject to final approval at the time of the issuance of the Contract and are offered as an example. Linear Systems has always strived for one hundred percent (100%) customer satisfaction and therefore if we are made aware of a perceived problem, we will fix it. 2.09.2 Insurance: Since Linear Systems currently does business with the City of Santa Ana, all insurance requirements are already in effect and the City of Santa Ana is listed as an additional insured.
