Exhibit D <br />ISD Maintenance and Support Agreement <br />Motorola, Inc., a Delaware corporation, through its Commercial, Government, and Industrial <br />Solutions Sector, North America Group ( "Motorola" or "Seller ") having a place of business at <br />6000 Spine Road, Boulder, CO 80301 and The City of Santa Ana on behalf of its Fire <br />Department ( "Customer" or "City"), having a place of business at 1439 S. Broadway, Santa Ana, <br />CA 92707, enter into this Maintenance and Support Agreement ( "Agreement "), pursuant to <br />which Customer will purchase and Seller will sell the maintenance and support services as <br />described below and in the attached exhibits. Seller and Customer may be referred to <br />individually as "party" and collectively as "parties." <br />For good and valuable consideration, the parties agree as follows. <br />Section 1 EXHIBITS <br />The Exhibits listed below are incorporated into and made a part of this Agreement. In <br />interpreting this Agreement and resolving any ambiguities, the main body of this Agreement will <br />take precedence over the Exhibits and any inconsistency between the Exhibits will be resolved in <br />the order in which they are listed below. <br />Exhibit A <br />"Description of Covered Products" <br />Exhibit B <br />"Support Plan" <br />Exhibit C <br />"Support Plan Options and Pricing Worksheet" <br />Exhibit D <br />"Billable Rates" <br />Section 2 DEFINITIONS <br />"Equipment" means the physical hardware purchased by Customer from Seller pursuant to a <br />separate System Agreement, Products Agreement, or other form of agreement. <br />"Motorola" means Motorola, Inc., a Delaware corporation. <br />"Motorola Software" means Software that Motorola or Printrak owns. The tern includes <br />Product Releases, Standard Releases, and Supplemental Releases. <br />"Non- Motorola Software" means Software that a party other than Motorola or Printrak owns. <br />"Optional Technical Support Services" means fee -based technical support services that are not <br />covered as part of the standard Technical Support Services. <br />"Patch" means a specific change to the Software that does not require a Release. <br />Exhibit D.
