<br />Licensee shall have the option of terminating this License Agreement on thirty (30) days written <br />notice, provided that at the end of said notice period, all encroachments are removed from the <br />public right of way. <br /> <br />14. NOTICES <br /> <br />All notices, demands, requests, or approvals to be given under this License Agreement <br />shall be given in writing and shall be deemed served when delivered personally, or seventy-two <br />(72) hours after the deposit thereof in the United States Mail, postage prepaid, registered or <br />certified, addressed as follows: <br /> <br />To City: <br /> <br />Executive Director <br />Public Works Agency <br />P.O. Box 1988 (M-2l) <br />20 Civic Center Plaza <br />Santa Ana, CA 92702 <br /> <br />To Licensee: GON-REY, LLC <br /> <br />To Landlord: Super "A" Foods, Inc. <br />Mr. Louis A. Amen, President <br />7200 Dominion Circle <br />Commerce, CA 90040 <br /> <br />Either party may from time to time by written notice served as aforesaid, designate a <br />different mailing address or person to whom all such notices or demands are thereafter to be <br />addressed. <br /> <br />15. MISCELLANEOUS <br /> <br />a. A waiver by the City of any breach of any term, covenant or condition herein <br />shall not be deemed to be a waiver of any subsequent breach of the same or any other term, <br />covenant or conditions contained herein, whether ofthe same or different character. <br /> <br />b. Any holding over by Licensee after the expiration or any termination of this <br />License Agreement or by any extension or renewal thereof shall not constitute a renewal or <br />extension of the term hereof. <br /> <br />c. Licensee recognizes and understands that should this License Agreement be deemed <br />by the County of Orange to create a possessory interest subject to property taxation, that Licensee <br />shall be subject to the payment of property taxes levied on such interest, and that it shall defend, <br />indemnifY and hold the City of Santa Ana, its officers, officials, members, employees, agents and <br />representatives, harmless from and against any and all such claims. <br /> <br />d. It is understood and agreed that Licensee, in the performance of this License <br />Agreement, will be acting in a wholly independent capacity and not as an agent, employ, partner, <br />joint venture of the City. This License Agreement does not create a tenancy of any nature <br />whatsoever between the City and Licensee. <br /> <br />e. The validity of this Agreement and any of its terms or provisions, as well as the <br />rights and duties of the parties, shall be governed by, and construed in accordance with, the laws <br />of the State of California. <br /> <br />6 <br />
