<br />5. MAXIMUM RATES <br />a. Hauling Rate <br />CONTRACTOR shall charge rates for collection of C&D Debris <br />that are no higher than those rates set forth in Attachment A. <br />b. Processing Rate <br />CONTRACTOR shall pay Madison Materials for processing of <br />C&D Debris rates that are no higher than those set forth in <br />Attachment B. <br />c. Adjustments <br />The Hauling Rate and Processing Rate will be adjusted effective <br />July I each year in an amount equal to 90% of the April Consumer <br />Price Index for All Urban Consumers (base year 1982-1984 = 100) <br />for Los Angeles-Anaheim-Riverside area, published by the United <br />States Department of Labor, Bureau of Labor Statistics. In <br />calculating new rates, the program surcharge and host fees shall be <br />excluded from the rates before such adjustment (increase or <br />decrease) is made. <br /> <br />6. LEGAL RESPONSIBILITIES <br /> <br /> <br />CONTRACTOR shall at all times comply with all applicable provisions of the <br /> <br />Santa Ana Municipal Code, now in effect or hereafter enacted, as well as all other <br /> <br />applicable County, State and Federal laws and regulations. Should any City, State <br /> <br />or Federal law become effective after the date of execution of this agreement that <br /> <br />materially impacts the performance of this agreement ("Change in Law"), which <br /> <br />both parties agree require modifications to the terms hereof, the parties agree to <br /> <br />meet and confer in a good faith effort to arrive at any such modifications. <br /> <br />7.
