6. LICENSE AGREEMENT <br />Successful vendor(s) will be required to enter into a License Agreement with the City of Santa <br />Ana. The City reserves the right to enter into an agreement with said License Agreement with <br />anv, all, or none of the vendors for a one -year period, with the option of extending the License <br />Agreement for two additional one -year terms. <br />SELL OR ASSIGN <br />The successful vendor shall not have the right to sell, assign, or transfer any obligations <br />resulting from this proposal without the specific written consent of the City. <br />8. LOCAL SALES TAX CONSIDERATION <br />In accordance with the Santa Ana Municipal Code, a one percent (1 %) preference will be <br />applied to all proposals for taxable goods submitted by suppliers located within the City limits <br />of Santa Ana. <br />9. RECEIVING TIME <br />The receiving time in the Budget and Accounting Section will be the governing time for <br />acceptability of proposals. Telegraphic, telephonic and facsimile proposals will not be <br />accepted. <br />10. COMPLIANCE WITH LAWS <br />All proposals shall comply with current federal, state, and other laws relative thereto. Vendor <br />further agrees that the services proposed comply with all applicable Federal and State <br />Occupational Safety and Health laws, standards for regulations, and that vendor will indemnify <br />and hold the City harmless for any failure to so conform. <br />11. REFERENCE TO SUCCESSFUL VENDOR <br />The terms vendor, supplier, proposer, or contractor may be used interchangeably in these <br />specifications and shall refer exclusively to the vendor(s) with whom the City enters into <br />contract as a result of this request for proposal. <br />12. INQUIRIES <br />Refer inquiries in writing via email to Robert Carroll, rcarrollna,ci.santa- anaca.us. <br />13. AWARD OF BASE PROPOSAL OR ALTERNATE PROPOSAL <br />The City of Santa Ana reserves the right to award either the Base Proposal or any Alternate <br />Proposals offered, whichever is in the best interest of the City. <br />14. RIGHTS RESERVED <br />The City reserves the right to contract with any, all, or none of the carnival vendors who submit <br />base proposals and/or alternate proposals. <br />15. E -MAIL COMMUNICATIONS <br />To facilitate the RFP process, vendors are required to monitor and respond to e-mail requests <br />on a daily basis. <br />
