INSURANCE i~QT ON FILE WORK MAY NOT PROCEED CLERK Of COUNCIL DATE: 5 - ~ (~ -off a-ZOO6-ioa AUDITING SERVICES AGREEMENT ~a~ ~ • ~~ ~ Il IIS AGREEMENT, made and entered into this ~1N day of MAC/ , 2006 by and between Moreland and Associates, Inc., a California corporation (hereinafter "Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). RECITALS A. "I'he City desires to retain a consultant having special skill and knowledge in the Yield of auditing to perform an examination and issue an opinion of the financial statements of all fund types and account groups of the City. L3. On February 4, 2006, City invited bids for an independent audit of its financial statements and records. C. Pursuant to said invitation, Consultant submitted a bid which was accepted by City for said professional service. D. Consultant is recognized as a competent and qualified certified public accountant, duly authorized to practice and licensed as such by the California State Board of Accountancy. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: SCOPE OF SERVICCS Consultant shall perform those services as set forth in the City's Request for Proposal Auditing Services, attached as Exhibit A to this Agreement. 2. COMPENSATION City agrees to pay, and Consultant agrees to accept as total payment for its services, the following annual fees: • Fiscal year ending June 30, 2006 $87,200 • Fiscal year ending June 30, 2007 $90,600 Fiscal year ending June 30, 2008 $94,100 • Fiscal year ending June 30, 2009 $97,600. Special examinations, surveys, or detailed reports of any nature outside the scope of this Agreement shall be billed separately by Consultant and must be specifically authorized in writing by City in advance of such additional services proposed to be provided. The total sum to be expended pursuant to this Agreement shall not exceed $469,500.00, during the term of said agreement.
