INSURANCE NOT ON FIL <br />0161D, CLERK OF (YTXX <br />WORK MAY 401 PROCEED <br />ArE: ' 1 15 <br />A -2015 -038 <br />FIRST AMENDMENT TO AGREEMENT FOR <br />PROVISION OF FINANCIAL AUDIT SERVICES <br />T141S FIRST AMENDMENT to the Agreement for Provision of Financial Audit Services is entered <br />into this 17a` day of Match, 2015, by and between Macias, Grin & O'Cormell, LLP, a California <br />qq corporation (hereinafter "AUDITOR'), and the City of Santa Ana, a charter city and municipal corporation <br />{ organized and existing under the Constitution and laws of the State of California (hereinafter "CITY'}. <br />RECITALS <br />A, The CITY and AUDITOR entered into an Agreement #A- 2012.081 (hereinafter "Agreement "), <br />dated April 16, 2012 to provide independent audit of the CITY's financial statements and records for fiscal <br />years 2011- 2012, 2012.2013, and 2013 -2014, <br />B. In accordance with the terms and conditions of the Agreement, the Parties desire to extend the term <br />of the Agreement to include fiscal year 2014 -2015 and amend the original cost proposal to pay for services <br />during the extended term. <br />WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter <br />contained and made, and subject to all of the terms and conditions of the Agreement as hereby amended, <br />the Parties hereby agree as follows: <br />1. Section 4, COMPENSATION, shall be amended to provide that in addition to the payments already <br />authorized Larder the Agreement, AUDITOR will accept as total payment for its financial audit <br />services relating to fiscal year 2014 -2015 the fees identified on Exhibit A to this First Amendrnenrt, <br />2, Section 5, TERM, shall be amended to extend the term of the Agreement through the completion of <br />financial audit services for fiscal year 2014 -2015. <br />3.
