this Agreement: <br />(a) Except as provided in Section 7.3.4 hereof, <br />the Contractor shall be under no further <br />obligation to provide services hereunder; <br />(b) The Contractor shall return to the City all <br />City Confidential Information in the <br />Contractor's possession and shall certify in <br />a written document signed by an officer of <br />the Contractor that all such information has <br />been returned; <br />(c) The City shall return to the Contractor all <br />Visiphor Confidential Information in the <br />City's possession (including, without <br />limitation, all devices, records, data, <br />notes, reports, proposals, lists, <br />correspondence, specifications, drawings, <br />blueprints, sketches, materials, equipment <br />or other documents or property relating to <br />such Visiphor Confidential Information and <br />all copies of any of the foregoing (in <br />whatever medium recorded)) and all Third <br />Party Products in its possession not yet <br />accepted and not yet paid for in full <br />together with all copies of documentation <br />and other material related thereto, and <br />shall certify in a written document signed <br />by an authorized officer of the City that <br />all such information and material has been <br />returned; <br />(d) The City shall cause payments to be made to <br />the Contractor within thirty (30) days of <br />receipt of invoice for all outstanding <br />invoices submitted to the City prior to the <br />effective date of the termination and for <br />all work performed prior to the effective <br />date of the termination, as well as for <br />other costs incurred prior to, or as a <br />result of, the termination (including <br />without limitation all cancellation, <br />restocking or residual fees resulting from <br />the cancellation or return of Third Party <br />Products ordered from or shipped by the <br />vendor thereof prior to the effective date <br />of the termination) based upon the <br />Primary Agreement June 15, 2006 Page 21 <br />
