this Agreement: (a) Except as provided in Section 7.3.4 hereof, the Contractor shall be under no further obligation to provide services hereunder; (b) The Contractor shall return to the City all City Confidential Information in the Contractor's possession and shall certify in a written document signed by an officer of the Contractor that all such information has been returned; (c) The City shall return to the Contractor all Visiphor Confidential Information in the City's possession (including, without limitation, all devices, records, data, notes, reports, proposals, lists, correspondence, specifications, drawings, blueprints, sketches, materials, equipment or other documents or property relating to such Visiphor Confidential Information and all copies of any of the foregoing (in whatever medium recorded)) and all Third Party Products in its possession not yet accepted and not yet paid for in full together with all copies of documentation and other material related thereto, and shall certify in a written document signed by an authorized officer of the City that all such information and material has been returned; (d) The City shall cause payments to be made to the Contractor within thirty (30) days of receipt of invoice for all outstanding invoices submitted to the City prior to the effective date of the termination and for all work performed prior to the effective date of the termination, as well as for other costs incurred prior to, or as a result of, the termination (including without limitation all cancellation, restocking or residual fees resulting from the cancellation or return of Third Party Products ordered from or shipped by the vendor thereof prior to the effective date of the termination) based upon the Primary Agreement June 15, 2006 Page 21
