percentage of work completed at the time of <br />termination and based upon the prices, <br />amounts and rates set forth in the Project <br />Deliverables and the Milestone Payment <br />Schedule; provided, however, that in no <br />event shall the amount of money paid under <br />this provision exceed the Contract Price; <br />and <br />(e) All provisions of this Agreement that by <br />their nature would reasonably be expected to <br />continue after the termination of this <br />Agreement shall survive the termination of <br />this Agreement. <br />7.4 Laxs to be Observed. All services to be performed by <br />Contractor pursuant to this Agreement shall be performed in <br />accordance with all applicable federal, state, county, and <br />municipal laws, including, but not limited to, the <br />Americans with Disabilities Act of 1990, as amended, and <br />Section 509 of the Rehabilitation Act of 1973, as amended, <br />which prohibits discrimination on the basis of handicap in <br />programs and activities receiving any federal or county <br />financial assistance. Such services shall also be <br />performed in accordance with all applicable ordinances and <br />regulations, including, but not limited to, appropriate <br />licensure, certification regulations, provisions pertaining <br />to confidentiality of records, and applicable quality <br />assurance regulations. <br />Contractor shall study and comply with all applicable <br />federal, state and local laws, rules and regulations <br />affecting the Contractor and his/her work hereunder and <br />shall ensure that all subcontractors do the same. <br />Contractor represents and warrants to City that Contractor <br />has and will keep in effect during the term of this <br />Agreement all licenses (including but not limited to the <br />City of Santa Ana business license), permits, <br />qualifications and approvals of whatsoever nature which are <br />legally required for Contractor to practice Contractor's <br />profession and to do the work hereunder. <br />Contractor agrees to abide by the <br />Immigration and Control Reform Act <br />that all newly-hired employees of <br />services under this Agreement have <br />the United States of America, that <br />documentation of such right to wor <br />requirements of the <br />pertaining to assuring <br />Contractor performing any <br />a legal right to work in <br />all required <br />k is inspected, and that <br />Primary Agreement June 15, 2006 Page 22 <br />
