Financial Arrangements: <br />1). City of Santa Ana agrees to the following cost of services for the production work <br />on the Project. <br />a), Production fee of $44,999.95 <br />b). City of Santa Ana will make three individual payments of the <br />above amount with initia150% due upon execution of this letter <br />agreement, second 25% due upon finishing principle photography <br />and the fina125% payment of the above amount due upon receipt <br />of deliverables from the Project satisfactory to CSA in the media <br />and format determined by CSA. <br />Warranties: Ownership: <br />Post Modem warrants and represents that it has the absolute right to enter into and perform this letter <br />agreement and will perform its obligations hereunder in accordance with standards and practices <br />prevailing in the industry. Post Modem's contribution to the Project, including the works to be produced <br />by Post Modem hereunder, will not infringe or misappropriate the proprietary or personal rights of any <br />third person or party, Post Modem's performance hereunder, including all suggestions, ideas or other <br />contributions to the Project, and the resulting works, including without limitation videotape masters and <br />all copies thereof; that result from the Project, shall be deemed "works made for hire" as defined in the <br />United States Copyright Act, and CSA will be deemed as of the creation of all such works as the sole and <br />exclusive author thereof. To the extent that any porhion of the works firom the Project is determined not to <br />be a "work made for hire" then Post Modern hereby assigns and transfers to CSA all worldwide right, title <br />and interest in and to such work and shall execute any and all documents reasonably necessary to effect or <br />evidence such assignment and transfer, Standazd Post Modern Edit, LLC, terms and conditions apply <br />(attached). <br />The undersigned are in agreement with the term, content of responsibilities and fmancial <br />arrangements outlined in this Letter of Agreement. <br />Date: June 9, 2006 <br />Linda Howazd <br />Economic Development Manager <br />City of Santa Ana <br />Richazd O'Neill <br />Producer <br />Post Modern Creative, LLC <br />
