Contractor shall comply with all applicable federal, state <br />and local laws, rules and regulations affecting the <br />Contractor and its work hereunder and shall ensure that all <br />subcontractors do the same. Contractor represents and <br />warrants to City that Contractor has and will keep in effect <br />during the term of this Agreement all licenses (including <br />but not limited to the City of Santa Ana business license), <br />permits, qualifications and approvals of whatsoever nature <br />which are legally required for Contractor to practice <br />Contractor's profession and to do the work hereunder. <br />Contractor agrees to abide by the requirements of the <br />Immigration and Control Reform Act pertaining to assuring <br />that all newly -hired employees of Contractor performing any <br />services under this Agreement have a legal right to work in <br />the United States of America, that all required <br />documentation of such right to work is inspected, and that <br />INS Form 1-9 (as it may be amended from time to time) is <br />completed and on file for each employee. Contractor shall <br />make the required documentation available upon request to <br />City for inspection <br />7.5 Governing Laws. The validity, interpretation, performance, <br />and enforcement of this Agreement shall be governed by the <br />laws of the State of California without regard to its <br />conflict of laws provisions. All legal proceedings brought <br />in connection with this Agreement may only be brought in <br />court located in Orange County, California. Each party <br />hereby agrees to submit to the personal jurisdiction of <br />those courts for any lawsuits filed there against such party <br />arising under or in connection with this Agreement. <br />7.6 Permits and Licenses. Except with respect to permits, <br />licenses, fees and notices imposed or required by the City's <br />site preparation to be completed by the City as required by <br />this Agreement, and except with respect to those which are <br />referenced in the Statement of Work as the responsibility of <br />the City, the Contractor shall procure all permits and <br />licenses, pay all charges and fees and give all notices <br />necessary and incidental to the due and lawful prosecution <br />of the services to be performed by the Contractor hereunder. <br />Primary Agreement Page 23 <br />
