<br />COVENANTS <br />NOW THEREFORE, in consideration of the mutual covenants contained herein, the <br />parties agree as follows: <br />1. This Agreement shall commence on the date first entered above and will be in <br />effect indefinitely. It is mutually understood that this Trailer's title, registration <br />and ownership will be transferred to Irvine. As such, Irvine will be responsible for <br />all fees related to title, registration, and ownership. Because the Trailer is <br />purchased with VASI grant funds, it must have a regional benefit. Irvine is <br />required to, and agrees that if any First Responding agency (Police, Fire, city <br />Emergency Operations Center) from the Orange County Operational area has a <br />justifiable need to use the Trailer, and requests to use the Trailer, Irvine shall allow <br />that agency access to the Trailer. Furthermore, Irvine shall assign the appropriately <br />trained personnel to accompany the Trailer during deployment to an outside <br />agency, to assist with equipment, set up, and incident management with respect to <br />use of the Trailer. Access to the Trailer by the outside agency shall be granted if, <br />and only if, Irvine is not engaged in the active deployment of the Trailer for its <br />intended purposes at the time of the request. Also, the requesting agency's <br />justification must be the result of any critical incident related to a terrorism, <br />Weapons of Mass Destruction or CBRNE (Chemical, Biological, Radiological, <br />Nuclear, and Explosive) event. Justification may also include any large-scale <br />incident (natural or man-made disaster) that is overwhelming to that agency's <br />existing resources, and where other mutual aid resources are not sufficient. <br /> <br />2. Santa Ana agrees to allow those officers, employees and agents of the Irvine Police <br />Department who are authorized by Irvine to use the Trailer as specified in this <br />Agreement. <br /> <br />3. All authorized officers, employees and agents of Irvine who use the Trailer, shall <br />strictly comply with the rules and regulations attached hereto as EXHIBIT "B" <br />(including any amendments to EXHIBIT "B"), and any other order or directive of <br />Santa Ana. <br /> <br />2 <br />
