" A-2007-033 f-/? -CJ 7 ..y-(~-07 0,' Pb(;{) THIS AGREEMENT, made and entered into this 5th day of February, 2007 by and ( ) between Global Mesh Technologies, a division of Large Screen Display Rentals, LLC H.s~ (hereinafter "Contractor"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). MOBILE WIRELESS NETWORK AGREEMENT RECITALS A. The City issued Request for Proposals 07-004 for a Mobile Ad-Hoc Network, seeking a regional wireless mobile ad-hoc system for use in first responder vehicles. B. In response to City's Request for Proposal, the Contractor submitted a written proposal dated January 22, 2007. C. City, acting through the Santa Ana Police Department in its capacity as a Core City for the Santa Ana Urban Area under the FY06 Urban Areas Security Initiative ("UASI"), has applied for, received and accepted a grant from the federal Department of Homeland Security, Office of Domestic Preparedness, through the State of California, Office of Homeland Security, to enhance countywide emergency preparedness, hereinafter referred to as "the Grant". D. Following the proposal evaluation process, the City has agreed to purchase and the Contractor has agreed to provide the City with a Mobile Ad-Hoc Wireless Network., initially providing Santa Ana police and fire first responders to exchange data, including documents, maps, photographs and videos. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES 1.1 The Contractor hereby agrees to provide all software, hardware and related services and materials to implement the CAMMSTM (Command Anywhere Mobile Mesh Software) to enable a totally secure, scalable mobile mesh network as set forth in the City's Request for Proposal 07-004, on file with the Santa Ana Police Department and incorporated by reference; Contractor's Scope of Work, attached hereto as Exhibit A and incorporated herein by this reference (the "Scope of Work"); and Contractor's Response to RFP 07- 004 Ad Hoc Wireless Network, attached hereto as Exhibit B and incorporated herein by this reference (the "Proposal"), all upon the terms, conditions and provisions of this Agreement. The City hereby agrees to purchase the system and related services and materials identified in the Scope of Work and the Proposal, all upon the terms, conditions and provisions of this Agreement.
