<br />" <br /> <br />A-2007-033 <br /> <br />f-/? -CJ 7 <br /> <br />..y-(~-07 <br /> <br />0,' Pb(;{) THIS AGREEMENT, made and entered into this 5th day of February, 2007 by and <br />( ) between Global Mesh Technologies, a division of Large Screen Display Rentals, LLC <br />H.s~ (hereinafter "Contractor"), and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California (hereinafter <br />"City"). <br /> <br />MOBILE WIRELESS NETWORK AGREEMENT <br /> <br />RECITALS <br /> <br />A. The City issued Request for Proposals 07-004 for a Mobile Ad-Hoc Network, seeking a <br />regional wireless mobile ad-hoc system for use in first responder vehicles. <br /> <br />B. In response to City's Request for Proposal, the Contractor submitted a written proposal <br />dated January 22, 2007. <br /> <br />C. City, acting through the Santa Ana Police Department in its capacity as a Core City <br />for the Santa Ana Urban Area under the FY06 Urban Areas Security Initiative <br />("UASI"), has applied for, received and accepted a grant from the federal Department <br />of Homeland Security, Office of Domestic Preparedness, through the State of <br />California, Office of Homeland Security, to enhance countywide emergency <br />preparedness, hereinafter referred to as "the Grant". <br /> <br />D. Following the proposal evaluation process, the City has agreed to purchase and the <br />Contractor has agreed to provide the City with a Mobile Ad-Hoc Wireless Network., <br />initially providing Santa Ana police and fire first responders to exchange data, including <br />documents, maps, photographs and videos. <br /> <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br /> <br />1. SCOPE OF SERVICES <br /> <br />1.1 The Contractor hereby agrees to provide all software, hardware and related services and <br />materials to implement the CAMMSTM (Command Anywhere Mobile Mesh Software) to <br />enable a totally secure, scalable mobile mesh network as set forth in the City's Request <br />for Proposal 07-004, on file with the Santa Ana Police Department and incorporated by <br />reference; Contractor's Scope of Work, attached hereto as Exhibit A and incorporated <br />herein by this reference (the "Scope of Work"); and Contractor's Response to RFP 07- <br />004 Ad Hoc Wireless Network, attached hereto as Exhibit B and incorporated herein by <br />this reference (the "Proposal"), all upon the terms, conditions and provisions of this <br />Agreement. The City hereby agrees to purchase the system and related services and <br />materials identified in the Scope of Work and the Proposal, all upon the terms, conditions <br />and provisions of this Agreement.
