<br />software, consisting of executable software, data and documentation is transferred to City <br />as a license only, not sold to City. <br /> <br />1.2 The CAMMSTM system shall provide the following time and distance parameters for <br />communication between and among the components: <br /> <br />. Line of sight range for AP to AP communications will be a minimum of 300 feet <br />with an expected range of 800 to 1500 feet, dependent upon terrain. <br /> <br />. Contractor warrants mesh formation by up to 100 AP's at any single mesh event. <br /> <br />. Remote cameras shall be connected via cat 5/6 cable to the DFK (deployable field <br />kits) and provide a selectable frame rate of 15 or 25 FPS. Wireless connection <br />between the DFK and standard AP will be the same as AP to AP under similar <br />conditions. <br /> <br />. Wireless 2.4 GHz remote cameras will provide a frame rate of 15 FPS. Range <br />from camera to AP will be a minimum of200 feet. Operating time of the <br />deployed camera will be a minimum of 5 hours at full charge. <br /> <br />. DFK AP repeater battery operating time - ten (10) hours (4 hour recharge) <br />DFK AP and camera battery operating time - eight (8) hours (4 hour recharge) <br /> <br />1.3 Form of Agreement. Incorporated in this Agreement by reference are: <br /> <br />Exhibit A - RFP 07-004 <br />Exhibit B - Scope of Work (with attachments) <br />Exhibit C - Contractor's Proposal <br />Exhibit D - Pricing <br /> <br />In the event of any conflict or inconsistency among documents related to this Agreement, <br />said conflict or inconsistency shall be resolved by giving precedence to this Agreement, <br />followed by the Scope of Work, followed by the Contractor's Proposal. <br /> <br />2. COMPENSATION <br /> <br />a. The City agrees to pay and Contractor agrees to accept as total payment for its <br />services, including software, hardware and necessary devices, an amount not to exceed <br />$350,000, as set forth in the Pricing list, attached hereto as Exhibit C and incorporated by <br />reference. The Parties have agreed that pricing will be set at the 101 + unit pricing level. The <br />total amount above shall be the maximum price to be paid to Global Mesh Technologies by the <br />City, except as that price may be changed in accordance with approved Change Orders. <br /> <br />b. Payment by City shall be made as follows: <br />. 30% on execution of this agreement <br />. 30% on installation of the equipment <br /> <br />2 <br />
