,NSURANCEONFILE <br />WORK MAY PROCEED N-2007-061 <br />UNTIL INSURANCE EXPIRES <br />H-ay-o8~ »' S-u-ot' <br />q.ERKOF NCIL <br />DBE 6" /y"~~ INMATE TELEPHONE SERVICE AGREEMENT <br />a.(gpPpXz)C~ā¢ Bra+~/ cā¢ lcug~por~ <br />THIS AGREEMENT, made and entered into this is` day of March, 2007 by and between <br />Inmate Calling Solutions, LLC d/b/a ICSolutions, a Limited Liability Company (hereinafter <br />"Contractor"), and the City of Santa Ana, a charter city and municipal corporation organized <br />and existing under the Constitution and laws of the State of Cal'rfomia (hereinafter "City"). <br />RECITALS <br />A. The City desires to acquire the services and equipment of a capable and experienced <br />phone service provider to provide equipment and service to offer inmate phone services <br />at the Santa Ana Detention Facility. <br />B. Contractor represents that Contractor is able and willing to provide such equipment and <br />services to the City. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional phone service company in a secure facility setting. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. PROVISION OF PHONE SERVICE <br />Contractor agrees to provide, for inmate use only, The ENFORCER® telephone system, <br />with voice verification technology. The system shall include a minimum of 52 phones, including <br />eight (8) in the booking area programmed to provide free local ells. Contractor shall provide <br />service at the rates and charges set forth in Exhibit A, attached hereto. Additionally the system <br />will provide three (3) computer work stations with printer and CD burners for security. <br />2. RIGHT TO USE SPACE <br />City agrees to allow Contractor to place its pay phones within the Santa Ana Detention <br />Facility (hereinafter "Facility") in locations mutually agreed between Contractor and City. ff, <br />during the term of this Agreement, City requests the installation of additional pay phones, <br />Contractor agrees to install new or additional pay phones in the Facility. City and Contractor <br />agree that if new or additional pay phones are installed in the Facility, the terms of this <br />Agreement shall apply to those new/additional phones. Contractor shall retain title to all pay <br />phones it installs pursuant to this Agreement. City shall provide supervised access for <br />Contractor employees assigned to install, maintain, repair, or replace pay phones within the <br />Facility. <br />3. SERVICE AND REPAIR <br />Contractor shall service and maintain in working order, the pay phones it installs in the <br />Facility. Contractor further agrees to respond within twenty-four (24) hours, excluding <br />weekends and holidays, to repair or replace defective or damaged equipment. <br />Santa Ana-ICSolutions Contract Page 1 of 10 <br />
