ADMINISTRATOR may, in its sole <br />discretion, modify the date upon which the independent audit must be received, <br />upon notice to CONTRACTOR. <br />24. RECORDS, INSPECTIONS AND AUDITS <br />24.1 Financial Records: <br />24.1.1 CONTRACTOR shall prepare and maintain accurate and <br />complete financial records. Financial records shall be retained, by <br />CONTRACTOR, for a minimum of five (5) years from the date of fiinal payment <br />under this Agreement or until all pending COUNTY, State and Federal audits are <br />completed, whichever is later. <br />24.1.2 CONTRACTOR shall establish and maintain reasonable <br />accounting, internal control and financial reporting standards in conformity <br />with generally accepted accounting principles established by the American <br />Institute of Certified Public Accountants (AICPA) and to the satisfaction of <br />ADMINISTRATOR. <br />24.2 Client Records: <br />24.2.1 CONTRACTOR shall prepare and maintain accurate and <br />complete records of clients served, and dates and type of services provided <br />under the terms of this Agreement in a form acceptable to ADMINISTRATOR. <br />24.2.2 All client records related to services provided under the <br />terms of this Agreement shall be retained by CONTRACTOR for a minimum of five <br />(5) years from the date of final payment under this Agreement or until all <br />pending COUNTY, State and Federal audits are completed, whichever is later. <br />Notwithstanding anything to the contrary, upon termination ofi this Agreement, <br />CONTRACTOR shall relinquish control with respect to client records to COUNTY <br />in accordance with Subparagraph 38.2. <br />/// <br />~ (WBC0607) <br />30 Of 40 (April 9, 2007) <br />
