<br />'-' <br /> <br />...., <br /> <br />CONSULTANT to deliver to CITY all work products completed as of <br />such date. <br /> <br />8. Independent contractor <br />CONSULTANT is an independent contractor and <br />not an employee of the CITY. All CONSULTANT's personnel shall be <br />employees or subcontractors of CONSULTANT and not employees of the <br />CITY. CONSULTANT shall pay all salaries and wages, employer's <br />social security taxes, unemployment insurance and similar taxes <br />relating to employees and shall be responsible for all applicable <br />withholding taxes. <br />9. Insurance <br />Wi th respect to performance of work under <br />this Agreement, CONSULTANT shall maintain and shall require its <br />subcontractors, if any, to maintain insurance as described below: <br />A. Worker's Compensation insurance with <br />statutory limits, any employer's liability insurance with limits <br />not less than $1,000,000 per accident. <br />B. Commercial general liability insurance, <br />or equivalent form, with a combined single limit of not less than <br />$1,000,000 per occurrence. If such insurance contains a general <br />aggregate limit, such limit shall apply separately to each project <br />CONSULTANT performs for CITY. Such insurance shall (a) name CITY, <br />its officers, agents, representatives, volunteers and employees as <br />additional insureds to the extent damage or loss arises out of <br />CONSULTANT'S negligent performance; (b) be primary with respect to <br />insurance or self-insurance programs maintained by the CITY; and <br /> <br />~~ <br />
