<br />5i05 <br /> <br />I. SUBRECIPIENT'S OBLIGATIONS <br /> <br />A. Non-Profit Status - Rcprcscntations and Warrantics. <br /> <br />(a) Authority. SUBRECIPIENT is a duly organizcd and cxisting non-profit corporation <br />in good standing and authorized to do business undcr thc laws of the Statc of California. <br />SUBRECIPIENT has full right, powcr and lawful authority to acccpt thc funding hcrcundcr and <br />to undcrtake all obligations as providcd hcrcin and the cxccution, pcrformancc and delivcry of <br />this Agrccmcnt by SUB RECIPIENT has been fully authorizcd by all rcquisitc actions on thc part <br />of SUBRECIPIENT. <br /> <br />(b) Experience. SUBRECIPIENT is a qualified providcr of the scrviccs to bc providcd <br />hcrcundcr. <br /> <br />(c) Familiarity With Services Required. By cxccuting this Agrccmcnt, <br />SUBRECIPIENT warrants that (i) it has thoroughly invcstigatcd and considcrcd the scrviccs to <br />be pcrformed and providcd hereundcr, (ii) it has carcfully considercd how the serviccs should bc <br />pcrformcd, and (iii) it fully undcrstands thc facilitics, difficultics and rcstrictions attending <br />pcrformancc of the scrviccs undcr this Agrccmcnt. <br /> <br />(d) No Conflict. To the best of SUB RECIPIENT'S knowlcdgc, SUBRECIPIENT'S <br />cxccution, dclivcry and pcrformancc of its obligations undcr this Agrecmcnt will not constitutc a <br />dcfault or a brcach undcr any contract, agrccmcnt or order to which SUBRECIPIENT is a party <br />or by which it is bound. <br /> <br />(e) No Bankruptcy. SUBRECIPIENT is not thc subjcct of any currcnt or thrcatcncd <br />bankruptcy procccding. <br /> <br />(f) No Pending Legal Proceedings. SUBRECIPIENT is not the subjcct of a currcnt or <br />thrcatcncd litigation that would or may matcrially affcct SUBRECIPIENT'S pcrformancc undcr <br />this Agrccmcnt. <br /> <br />(g) Application Veracity. All provisions of and information providcd in <br />SUBRECIPIENT'S application for funding submittcd to CITY including any cxhibits arc truc <br />and corrcct in all matcrial rcspccts. <br /> <br />(h) No Pending Investigation. SUB RECIPIENT is not awarc that it is thc <br />subjcct of any current or thrcatcncd criminal or civil action invcstigation by any public agcncy, <br />including without limitation a police agency or prosccuting authority, that would relate to affcct <br />pcrformance of the Agrcement or provision of scrviccs hcrcunder. <br /> <br />B. Amount of Grant and Ouarterly Disbursemcnt. The amount grantcd to <br />SUBRECIPIENT is $ 25,000("CDBG FUNDS"), and such funds shall bc expendcd by <br />SUBRECIPIENT on or bcfore June 30, 2008. The CDBG FUNDS shall bc disbursed by CITY <br />to SUBRECIPIENT on a quarterly basis (Octobcr, January, April and July) subject to and upon <br /> <br />2 <br />
