1 times as DIRECTOR may require, and in the form DIRECTOR may require, regarding the performance of <br />2 CONTRACTOR's services, activities, costs or other data relating to this Agreement as may be requested <br />3 by DIRECTOR, upon a form approved by DIRECTOR. DIRECTOR may modify the provisions of this <br />paragraph without further Board action upon written notice to CONTRACTOR. <br />4~ <br />NO SUPPLANTATION <br />51 <br />12. CONTRACTOR shall not supplant any Federal, State or COUNTY funds intended for the <br />6 <br />purposes of this Agreement with any funds made available under this Agreement. CONTRACTOR shall <br />7 <br />not claim reimbursement from COUNTY for, or apply sums received from COUNTY with respect to, that <br />$ portion of its obligations which have been paid by another source of revenue. CONTRACTOR agrees that <br />9 it shall not use funds received pursuant to this Agreement, either directly or indirectly, as a contribution or <br />10 compensation for purposes of obtaining Federal, State or COUNTY funds under any Federal, State or <br />11 COUNTY program without prior written approval of DIRECTOR. <br />12 INDEPENDENT CONTRACTOR <br />13 13. CONTRACTOR is and shall at all times be deemed to be, an independent contractor and shall <br />14 be wholly responsible for the manner in which it performs the services required of it by the terms of this <br />Agreement. Nothing herein contained shall be construed as creating the relationship of employer and <br />15 <br />employee, or principal and agent, between COUNTY and CONTRACTOR or any of CONTRACTOR's <br />16 <br />agents or employees. CONTRACTOR assumes exclusively the responsibility for the acts of its employees <br />17 <br />or agents as they relate to services to be provided during the course and scope of their employment. <br />18 CONTRACTOR, its agents, employees and volunteers, shall not be entitled to any rights and/or <br />19 privileges of COUNTY employees, and shall not be considered in any manner to be COUNTY employees. <br />20 ASSIGNMENT <br />21 14. The terms, covenants, and conditions contained herein shall apply to and bind the heirs, <br />22 successors, executors, administrators, and assigns of the CONTRACTOR. No portion of this Agreement <br />23 shall be assigned without the express written consent of COUNTY.
