� O <br />Y <br />sal � <br />O �1 <br />NY <br />NCE NOT ONCE A-2009-054 <br />COUNCIL <br />AGREEMENT FOR COMMUNITY MANAGEMENT <br />DISTRICT SERVICES <br />This agreement is made on I qday of�009, between the City of Santa Ana, a <br />charter cit and municipal corporation dulyorganized existing under the Constitution and <br />laws of the State of California, (the "CITY") and Downtown, Incorporated, a California non- <br />profit corporation, (the "ASSOCIATION"). <br />RECITALS: <br />0 <br />;I <br />Uj <br />cr <br />IB <br />JwW <br />U <br />lv I z <br />�aQtl1 0 <br />°C v <br />a�z�oC <br />co ALL; <br />z��b �Q <br />(U D <br />D <br />Pursuant to its Resolution No. 2008-078 (the "RESOLUTION") the City Council of the <br />CITY has established a community management district designated as the "Downtown <br />Community Management District " (the "DISTRICT"), under Article XX of Chapter 13 of <br />the Santa Ana Municipal Code (the "ORDINANCE"); and <br />Pursuant to the Resolution and the Ordinance, assessments will be levied annually against the <br />assessable parcels in the DISTRICT commencing with Fiscal Year 2009-2010 and <br />continuing through Fiscal Year 2013-2014; and <br />Such assessments may be used only for the purposes set forth in the Resolution; and <br />The CITY desires to use the assessments to contract for the administration of a program of <br />improvements and activities in connection with the DISTRICT for Fiscal Years 2009-2010 <br />through 2013-14; and <br />E. Section 13-209 of the Ordinance authorizes the CITY to contract with a non-profit owners <br />association to manage the district on a day-to-day basis. <br />F. The ASSOCIATION represents that it is a private nonprofit corporation registered and in <br />good standing with the California Secretary of State qualified to serve pursuant to the <br />Ordinance. <br />G. The CITY seeks to contract with the ASSOCIATION to administer such program of <br />improvements and activities. <br />NOW, THEREFORE, the CITY and ASSOCIATION mutually agree as follows: <br />TERM OF AGREEMENT <br />1.1. The term of this Agreement shall be from July 1, 2009 to and including December <br />31, 2014. <br />1.2. In the case of a default by the ASSOCIATION, the CITY may terminate this <br />Agreement by giving written notice to the ASSOCIATION. <br />
