GTSI-09-]1453 v4.0 <br />• GTSI assumes that reports and/or deliverables (except as noted within our technical <br />proposal) will be submitted in electronic format. Formal, bound reports are not included <br />in the Proposal price. Should requirements arise for the submission of formal, bound <br />reports, GTSI shall propose subsequent pricing as appropriate. <br />• The GTSI proposal is dependent upon deliverables being received and reviewed within <br />ten (10) business days. Delays beyond ten (10) business days, unless agreed to prior to <br />deliverable submission, shall be considered delays on the part of the Government. GTSI <br />may seek compensation for these delays. <br />• Deliverable Acceptance Process. Due to the nature of a firm fixed price contract, written <br />deliverables shall be delivered to the Contracting Officer's Representative (COR) by <br />GTSI in accordance with the time frames set forth in this proposal. Prior agreement <br />regarding written deliverable content and format shall precede performance and shall <br />govern acceptance of the final written deliverable. At the completion of the <br />Government's review (within the time frame specified herein), the COR will promptly <br />provide a single, conclusive, integrated set of consolidated comments to the GTSI Project <br />Manager within 10 days (or as otherwise mutually agreed in advance) after receipt of <br />each deliverable. If any comments identify changes desired by the COR, which do not <br />constitute errors or omissions based on the requirements provided to GTSI by Santa Ana <br />Police Department, COR acknowledges and agrees that any change requested may result <br />in an upward or downward equitable adjustment in the contract price, delivery schedule, <br />timeframe for performance, or other affected terms of the contract. Such changes may not <br />be made unilaterally by the COR, but rather as mutually agreed to by the parties. GTSI <br />shall be entitled to seek an equitable adjustment and COR agrees to modify the contract <br />accordingly. <br />• Each deliverable shall be presumed accepted ten (10) days after receipt by the COR, <br />unless the COR otherwise notifies GTSI of nonconformance. <br />• The GTSI offer is limited to only those areas that are proposed. <br />• Requests by GTSI for resources and/or meetings will be acknowledged by an authorized <br />representative of Santa Ana Police Department to include an estimate of time required to <br />make available the requested resources should resources be required. <br />• All meetings involving GTSI shall be conducted at mutually agreed times and locations <br />between Santa Ana Police Department and GTSI without unreasonable delay. Both <br />Parties will make available appropriate personnel to provide maximum value to the <br />meeting. <br />• Any modifications proposed to the scope within this proposal must be negotiated and <br />approved by both parties in writing prior to work continuing. <br />• All support and deliverables will be provided in United States English. <br />• GTSI assumes that there will be only one Santa Ana Police Department Project <br />Coordinator assigned to lead each task order and who will enjoy full support from Santa <br />Ana Police Deparhnent senior management. Under this arrangement it is assumed the <br />appropriate Santa Ana Police Department personnel will be available on a timely basis to <br />work with GTSI representatives, and that management will provide authority to the Santa <br />-14- <br />GTSI Confidential and Proprietary. Use or disclosure of the data conlarned on this sheet is subject to the restrictions on the title page oJ'this <br />proposal. <br />
