3.4 UPGRADED AND NEW TECHNOLOGIES !TECHNOLOGY ADVANCEMENTS <br />The City recognizes the rapid evolution in hardware technology. It is the intent of the City to <br />change or upgrade its cabling standard as the Systimax standards change. It is expected that <br />the Vendor will propose and provide enhanced cable and products with associated price <br />changes as the new technologies are adopted. Upon mutual agreement of both parties the new <br />cable products shall be incorporated into the agreement when the City adopts updated <br />Systimax standards and as new products and technologies become available. <br />4. GENERAL TERMS AND CONDITIONS <br />4.1 AGREEMENT <br />Prior to the performance by the Vendor of any work hereunder, the City and the Vendor shall <br />enter into a written agreement, a draft of which is attached as Appendix C. <br />Ih~lll~]dIG1-1~1 Proposers responding to the RFP are strongly advised to review all the <br />terms and conditions contained in the draft agreement. <br />4.2 INSURANCE REQUIREMENTS <br />Proof of insurance is not required to be submitted with the proposal, but will be required prior to <br />the City's award of the agreement. <br />Ill~tla~]:aI_1-1u Proposers should carefully consider the City insurance requirements and the <br />related documentation included in the Draft Agreement [see Appendix C]. <br />~ ' ' Proposals should be based on full and complete compliance with all parts <br />and directions relating to these insurance requirements. <br />4.3 PROOF OF AUTHORITY <br />If the Proposer is a corporation, formal proof of the authority of the officer signing the <br />Proposer's proposal to bind the corporation must be submitted and will be required prior to the <br />City's award of the agreement. A copy of the corporate resolution or minutes can be adequate <br />proof. A simple letter is not sufficient. <br />4.4 TAXES <br />Prices proposed shall include all applicable federal, state, local and other taxes -all items <br />separately. <br />4.5 WITHDRAWAL OF PROPOSAL <br />Any requests to withdraw a proposal must be submitted in writing. <br />4.6 ERRORS AND OMMISIONS <br />Proposer shall not be allowed to take advantage of any errors in or omissions in the Request <br />Page 9 of 34 <br />
